Licensee Warranties. LICENSEE hereby represents and warrants to Licensor that: (a) Authority - LICENSEE is a legally existing entity with the authority to enter into this Agreement. (b) Compliance with Law - LICENSEE warrants that it has complied and will comply fully with all applicable laws, regulations, statutes, and ordinances.
