Licensee's Events of Default. The occurrence and continuation of any of the following will be deemed an Event of Default by Licensee under this Agreement: (a) Licensee fails to observe or perform any material covenant, condition or agreement contained in this Agreement; or (b) Licensee breaches or violates any material representation or warranty made by it under this Agreement.
