Responsibility for Employees and Expenses. Programmer shall employ and be solely responsible for the salaries, taxes, insurance and related costs for all personnel used in the production of its programming (including, but not limited to, salespeople, technical staff, traffic personnel, board operators and programming staff). Licensee will provide and be responsible for the Station personnel necessary for the broadcast transmission of its own programs (including, without limitation, the Station's General Manager and such operational and other personnel as may be necessary or appropriate), and will be responsible for the salaries, taxes, benefits, insurance and related costs for all the Licensee's employees used in the broadcast transmission of its programs and necessary to other aspects of Station operation. Whenever on the Station's premises, all personnel shall be subject to the overall supervision of Licensee's General Manager.

Responsibility for Employees and Expenses. Licensees shall employ two full time employees at the main studio(s) of the Stations, one of whom shall be a manager, both of whom shall report to and be accountable to Licensees, and who shall be ultimately responsible for the day-to-day operation of the Stations. Licensees shall be directly responsible for paying the salaries, taxes, insurance and related costs for such employees (the "Licensees Employee Expenses"). Licensees shall be responsible for paying directly (i) transmitter site rent/mortgage for the Stations; (ii) costs for maintenance and repair of the transmission and other technical equipment; (iii) costs for capital improvements and replacements; and (iv) transmitter site utilities for the Stations ("Licensees Transmitter Expenses"). Licensees shall be responsible for paying directly all income taxes relating to Licensees' earnings from this arrangement. Broker shall employ and be responsible for the salaries, taxes, insurance and related costs for all personnel used in the production of the Programming (including, without limitation, salespeople, traffic personnel, administrative and programming staff). Excluding those expenses for which Licensees are making payments as set forth in this Section 11, during the Term, Broker shall be responsible for paying all other expenses reasonably and directly related to the continued operation of the Stations subject to the covenants of the parties to this Agreement (the "Other Expenses"), and further subject to the ultimate authority, control and power of Licensees.

Employees of Programmer shall serve, however, as duty operators of the Station, under the supervision and direction of the Licensee's General Manager and/or other designated personnel of Licensee, during all hours the Station are in operation. Licensee shall be responsible for (a) retaining a contract engineer to maintain the Station's broadcast and transmission equipment, (b) appointment of a Chief Operator, and (c) compliance with the FCC's main studio staffing requirements (including, without limitation, the Station's General Manager). Licensee shall be responsible for the salary, taxes, insurance and related costs for its General Manager and Chief Operator.
Responsibility for Employees and Expenses. In accordance with Section 1.7, Programmer shall employ and be solely responsible for the salaries, taxes, insurance and related costs for all personnel employed by Programmer (including, without limitation, salespeople, traffic personnel, board operators and programming staff). Licensee will provide and be responsible for the Station personnel employed by Licensee and necessary to fulfill Licensee's obligations hereunder, and will be responsible for the salaries, taxes, insurance and related costs for all the personnel it employs. All personnel shall be subject to the overall supervision of Licensee, consistent with Programmer's right to the use of the Stations facilities pursuant to Section 1.12 hereof.
Responsibility for Employees and Expenses. (a) Employment by Programmer of Licensee's Employees. Effective on the Commencement Date, Programmer will hire those current employees of the Stations other than (i) those necessary for Licensee to perform its obligations under all applicable FCC regulations and this Agreement, and (ii) those designated by Programmer in a written notice given to Licensee prior to the Commencement Date. Programmer shall employ such persons on such terms as it shall deem appropriate. Programmer shall not assume any payment in connection with any group medical, group insurance or pension plan of Licensee associated with such employees, nor assume responsibility for any compensation, benefits or other costs or liabilities of Licensee related to such employees and relating to the period prior to the Commencement Date including any salaries, wages, sales commissions, incentives, bonuses, accrued and unpaid vacation, holiday and sick pay or obligations under Licensee's benefit plans, nor does Programmer assume any employment contracts between Licensee and any such employees. If the Closing under the Purchase Agreement is not consummated as contemplated therein, the employment of such employees will be assigned back by Programmer to Licensee and Licensee will accept such assignment, and such employees shall cease to participate in Programmer's benefit plans described in Paragraph 9(b) below. Licensee represents and warrants to Programmer that all of the Stations' employees are at-will employees.

Broker shall reimburse Licensee for all telephone calls associated with program production and listener responses, for all fees to ASCAP, BMI and SESAC, and for any other copyright fees attributable to its programming broadcast on the Station.

Licensee will provide and be responsible for the Station personnel necessary for the broadcast transmission of Programmer's programs including, without limitation, the Station's General Manager and Administrative Assistant, and will be responsible for the salaries, taxes,insurance and related costs for all the Station personnel used in the broadcast transmission of Programmer's programs and necessary to other aspects of Station operation. Whenever on the Station's premises, all personnel shall be subject to the overall supervision of Licensee's General Manager and/or Administrative Assistant, consistent with Programmer's right to the use of the Station's facilities pursuant to Section 1.13 hereof.

Responsibility for Employees and Expenses. FUEGO shall employ and be responsible for the salaries, taxes, insurance, and related costs for all personnel used in the production of its programming (including salespeople, traffic personnel, board operators, and programming staff). LATTV shall provide personnel as required under the rules, regulations and policies of the FCC and will be responsible for the salaries, taxes, insurance and related costs for all the personnel used by LATTV for the operation of the Stations. Whenever on the Stations’ premises, all of FUEGO’s personnel shall be subject to the supervision and the direction of personnel involved in the operation of the Stations in compliance with FCC regulations. FUEGO shall pay for all fees to ASCAP, BMI, and SESAC, and for any other copyright fees attributable to its programming broadcast on the Stations. At its sole cost and expense, LATTV shall provide a broadcast engineer and shall be solely responsible for the maintenance, repair, and, where reasonably required, the replacement of the Stations’ transmitter, antenna system, electrical system and cables, so that the Stations transmit FUEGO’s programming at full power twenty-four hours per day, seven days per week without interruption or deterioration of signal. FUEGO shall be responsible for acquiring and maintaining studios, should FUEGO desire to have studios, and FUEGO shall be responsible for acquiring and maintaining stations to transmitter links from such studios, should such links be desired by FUEGO. LATTV shall be responsible for the tower rents and the Stations’ electric bills, including electricity consumed in operating the transmitter and all other equipment.
Responsibility for Employees and Expenses. (a) During the term of this Agreement, the Transferred Employees shall be employed by the Company but shall, to the extent allowed by law, be subject to the complete supervision, direction and control of the Purchaser. The Purchaser shall pay for all salaries, commissions, taxes, insurance, sick leave, vacation pay, workers compensation, unemployment compensation, liabilities pursuant to Federal Insurance Contributions Act and the Federal Unemployment Trust Act, and all other claims, costs, expenses and liabilities of any nature whatsoever related to the Transferred Employees (collectively, the "Employment Expenses") arising during the period commencing on the Commencement Date and ending on the date of termination of this Agreement (the "Term") and the Purchaser shall be directly responsible for all such expenses related to all other personnel involved in the Business. Employment Expenses shall include, without limitation, all severance and salary continuation obligations of Transferred Employees whose employment is terminated (excluding those individuals listed on Exhibit A), or who voluntarily resign, during the term of this Agreement, other than Transferred Employees who are terminated by the Company pursuant to Section 4.3(d) below. During the term of this Agreement, the Company shall not, in any manner, seek to, or cause an, increase in the Employment Expenses without the Purchaser's prior written consent, which consent shall not be reasonably withheld or delayed. (b) The Employment Expenses shall be paid by the Purchaser either directly or through payment to the Company prior to the Company making payment of such Employment Expenses. (c) If, during the term of this Agreement, the Company shall, at the written request of the Purchaser, terminate the employment of one or more Transferred Employees without cause or other than pursuant to Section 4.3(d) below, the Purchaser shall be responsible for all salary continuation and severance obligations (pursuant to the Company's existing policy, a copy of which is set forth as Schedule 4.3(c) hereto) with respect to such Transferred Employees. (d) In the event that one or more Transferred Employees refuse to sign the offer letter provided by the Purchaser to such individuals with respect to proposed employment with the Purchaser, then the Company shall, at the request of the Purchaser, terminate the employment of such individual(s) and thereupon the Company shall be responsible for all salary continuation an...
