LICENSEE’S GENERAL OBLIGATIONS. 8.1 The Licensee shall: (a) Not injure, mar or in any manner deface or damage Northlands’ Grounds, premises or property. The Licensee shall be solely responsible for any repair or replacement costs, and such costs may be deducted from any monies held by Northlands for the Licensee. Northlands shall provide the Licensee with an invoice for such costs, if any; (b) Obtain and maintain at its sole expense all necessary permits, licenses, certificates, consents and approvals required by all authorities having jurisdiction relating to the activities of the Licensee pursuant to this Agreement. The Licensee shall immediately provide copies of any such documents to Northlands upon Northlands’ reasonable request; (c) Vacate Northlands’ Grounds no later than the time specified by Northlands, or forthwith upon the earlier cancellation or termination of this Agreement, and leave Northlands’ Grounds in the same condition and state of repair as when received at move-in, excepting only reasonable wear and tear, and removing all goods, chattels, equipment or other material whatsoever brought onto Northlands’ Grounds by the Licensee. Any items left on Northlands’ Grounds after the Licensee has vacated, or cancellation or termination of this Agreement, as the case may be, will be disposed of by Northlands, and any charges for disposal will be charged to the Licensee; (d) Provide such written and verbal reports as may be reasonably required by Northlands to monitor the Licensee’s compliance with the terms and conditions of this Agreement; (e) Comply with all rules and provisions set out in the Handbook found at x-xxxx.xxx and the Application, as applicable. Northlands may amend the Handbook and the Application, at its sole discretion, without notice to the Licensee; (f) At all times, act in a courteous and professional manner, and with the utmost regard for safety and the prevention of injury to all persons and property; (g) Observe and comply with all Northlands’ policies, procedures, rules and directions (including verbal) as may be provided by Northlands from time to time, and as may be amended by Northlands in its sole discretion; (h) Meet all deadlines requested by Northlands or required by law and advise immediately of any inability to meet a deadline; (i) Not commit any illegal acts or use profanity; (j) Promptly comply with and conform to the requirements of every applicable law, bylaw, regulation, ordinance and order at any time or from time to time enforced and affecting the activities and services, or either of them, pursuant to this Agreement; (k) Provide, at its own cost, all services, equipment, tools, materials, supplies and other items necessary to operate the Exhibit in accordance with the Agreement (the “Licensee’s Equipment”), except the Northlands’ Equipment expressly stated herein to be provided by Northlands; (l) In the event the Licensee conducts draws from the Exhibit, provide a copy of the draw tickets and stubs to Northlands at least 30 days prior to the Event for review and approval by Northlands, at Northlands’ discretion. The tickets and stubs shall indicate the legal name of the person or entity conducting the draw. The Licensee shall forthwith provide to Northlands the name of the winners of the draws. Purchase, donation or demonstration shall not be required in order to enter the draw. The Licensee shall not sell raffle tickets or solicit for donations from the Exhibit. (m) Northlands’ vendors are not permitted to give statements or opinions pertaining to any of Northlands’ business operation to any members of the media. LICENSEE’S GENERAL OBLIGATIONS. 8.1 3.1 The Licensee shall:must only use the Premises for the Permitted Use at the times agreed.
3.2 The Licensee must obtain and comply with any approvals, consents, licences and permits required for the Premises to be lawfully used by the Licensee for the Permitted Use.
3.3 The Licensee will keep the Premises and surrounding grounds in a clean and tidy condition removing all rubbish incurred during the Permitted Use and will repair any damage suffered and make good any loss sustained by the Licensor in connection with the occupation or use of the Premises by the Licensee, however the damage may arise.
3.4 The Licensee will not use nor tamper with, nor permit to be used or tampered with, any equipment of the Licensor in or near the Premises such as the woodwork the metal work areas and the office.
3.5 The Licensee must not conduct any illegal, immoral, offensive or unlawful use in the Premises or do anything in the Premises which causes nuisance, damage or disturbance to any other occupier of the Premises of any occupier of any nearby properties.
3.6 The Licensee will not erect any sign without first having obtained the consent in writing of NMS, which NMS can withhold at its absolute discretion. Any signage permitted must have all relevant information displayed in English (aplus any other desired language) Not injureand any symbols, mar offensive in the opinion of NMS, will not be accepted.
3.7 The Licensee will neither make nor permit to be made any alterations or additions to the Premises during the term of this licence without first having obtained the consent in writing of NMS. Where the Licensee moves any furniture in the Premises during a Permitted Use it must return it to its original place at the end of that Permitted Use.
3.8 The Licensee must not attempt to assign, transfer, sub- license, part with or dispose of the Premises (or any part of the Premises) or NMS’s interests under this Licence.
3.9 The Licensee will not bring or store any furniture, furnishings, equipment or items into the Premises and is not permitted to fix any items or equipment in any manner deface way, be they permanent or damage Northlandstemporary, to any part of the Premises without first having obtained NMS' written consent which may be given subject to conditions.
3.10 The Licensee will secure the Premises each time when it vacates at the end of a Permitted Use and return any keys as directed by the Event Manager.
3.11 This Agreement may be terminated in regard to a specific Permitted Use by notice in writing by either party to the other at any time before the Event by giving no less than 48 hours’ Grounds, premises or propertynotice. The whole Agreement may be terminated by notice in writing by either party to the other at any time by giving no less than 28 days written notice.
3.12 The Licensee is aware and acknowledges that NMS is itself the sub-lessee of the land on which the Premises are erected. The Licensee shall will not do or omit to do or permit or suffer to be solely responsible done anything which may cause the lease to NMS to cease or terminate.
3.13 If NMS's interest in or right to use and occupy the premises terminates for any repair or replacement costsreason, this Agreement will thereupon determine without notice and such costs may be deducted from any monies held by Northlands for the Licensee. Northlands shall provide the Licensee with an invoice for such costs, if any;
(b) Obtain and maintain at its sole expense all necessary permits, licenses, certificates, consents and approvals required by all authorities having jurisdiction relating to the activities of the Licensee pursuant to this Agreement. The Licensee shall immediately provide copies of any such documents to Northlands upon Northlands’ reasonable request;
(c) Vacate Northlands’ Grounds no later than the time specified by Northlands, or forthwith upon the earlier cancellation or termination of this Agreement, and leave Northlands’ Grounds in the same condition and state of repair as when received at move-in, excepting only reasonable wear and tear, and removing all goods, chattels, equipment or other material whatsoever brought onto Northlands’ Grounds by the Licensee. Any items left on Northlands’ Grounds after the Licensee has vacatedno, or cancellation or termination of this Agreementand will make no, as the case may be, claim against NMS by reason thereof. Any Fees and Outgoings already paid for future Uses will be disposed of by Northlands, and any charges for disposal will be charged refunded to the Licensee;.

3.16 The Licensee must ensure that any use of the premises does not exceed the maximum capacity for the Premises determined in accordance with relevant laws, act in a courteous statutes and professional manner, codes and with the utmost regard for safety and the prevention of injury to all persons and property;
(g) Observe and will comply with all Northlands’ policies, procedures, rules and directions (including verbal) as may be provided by Northlands from time to time, and as may be amended by Northlands in its sole discretion;
(h) Meet all deadlines requested by Northlands or required by law and advise immediately of any inability to meet a deadline;
(i) Not commit any illegal acts or use profanity;
(j) Promptly comply with and conform to the requirements of every applicable law, bylaw, regulation, ordinance and order at the Protection of the Environment Operations Xxx 0000.
3.17 The Licensee must ensure that any time or from time to time enforced and affecting use of the activities and services, or either of them, pursuant to this Agreement;
(k) Provide, at its own cost, all services, equipment, tools, materials, supplies and other items necessary to operate Premises does not exceed any maximum capacity for the Exhibit Premises determined in accordance with the Agreement (the “Licensee’s Equipment”)relevant laws, except the Northlands’ Equipment expressly stated herein to be provided by Northlands;statutes and codes.

3.14 The Licensee agrees to pay to NMS all the Licensee;cost of replacement of locks and keys if the Licensee fails to return them as directed by the NMS.

(j) Promptly comply with and conform to the requirements of every applicable law, bylaw, regulation, ordinance and order at any time or from time to time enforced and affecting the activities and services, or either of them, pursuant to this Agreement;
(k) Provide, at its own cost, all services, equipment, tools, materials, supplies and other items necessary to operate the Exhibit in accordance with the Agreement (the “Licensee’s Equipment”), except the NorthlandsExplore Edmonton’ Equipment expressly stated herein to be provided by NorthlandsExplore Edmonton;
(l) In the event the Licensee conducts draws from the Exhibit, provide a copy of the draw tickets and stubs to Northlands Explore Edmonton at least 30 days prior to the Event for review and approval by NorthlandsExplore Edmonton, at NorthlandsExplore Edmonton’ discretion. The tickets and stubs shall indicate the legal name of the person or entity conducting the draw. The Licensee shall forthwith provide to Northlands Explore Edmonton the name of the winners of the draws. Purchase, donation or demonstration shall not be required in order to enter the draw. The Licensee shall not sell raffle tickets or solicit for donations from the Exhibit.
(m) Northlands’ vendors are not permitted to give statements or opinions pertaining to any of Northlands’ business operation to any members of the media. If you are approached by media asking for a statement, please call 000.000.0000. Northlands has designated staff to speak to media groups.

LICENSEE’S GENERAL OBLIGATIONS. 8.1 The Licensee shall:
(a) Not injure, mar or in any manner deface or damage Northlands’ Grounds, premises or property. The Licensee shall be solely responsible for any repair or replacement costs, and such costs may be deducted from any monies held by Northlands for the Licensee. Northlands shall provide the Licensee with an invoice for such costs, if any;
(b) Obtain and maintain at its sole expense all necessary permits, licenses, certificates, consents and approvals required by all authorities having jurisdiction relating to the activities of the Licensee pursuant to this Agreement. The Licensee shall immediately provide copies of any such documents to Northlands upon Northlands’ reasonable request;
(c) Vacate Northlands’ Grounds no later than the time specified by Northlands, or forthwith upon the earlier cancellation or termination of this Agreement, and leave Northlands’ Grounds in the same condition and state of repair as when received at move-in, excepting only reasonable wear and tear, and removing all goods, chattels, equipment or other material whatsoever brought onto Northlands’ Grounds by the Licensee. Any items left on Northlands’ Grounds after the Licensee has vacated, or cancellation or termination of this Agreement, as the case may be, will be disposed of by Northlands, and any charges for disposal will be charged to the Licensee;
(d) Provide such written and verbal reports as may be reasonably required by Northlands to monitor the Licensee’s compliance with the terms and conditions of this Agreement;
(e) Comply with all rules and provisions set out in the Handbook found at x-xxxx.xxx xxx.xxxxxxxxxxxxxxxxxxxxx.xxx and the Application, as applicable. Northlands may amend the Handbook and the Application, at its sole discretion, without notice to the Licensee;
(f) At all times, act in a courteous and professional manner, and with the utmost regard for safety and the prevention of injury to all persons and property;
(g) Observe and comply with all Northlands’ policies, procedures, rules and directions (including verbal) as may be provided by Northlands from time to time, and as may be amended by Northlands in its sole discretion;
(h) Meet all deadlines requested by Northlands or required by law and advise immediately of any inability to meet a deadline;
(i) Not commit any illegal acts or use profanity;
