LICENSEE’S UNDERTAKINGS. The Licensee agrees with the Licensor as follows: 4.1 To pay the License Fee without any withholdings or deductions whether the same be demanded or not; 4.2 To use the Premises only for the provision of activity associated with tennis; 4.3 To keep the Premises clean and tidy and clear of rubbish; 4.4 To provide and maintain its own equipment stored on the premises; 4.5 The Licensee shall in respect of Permitted Hours be responsible for: 4.5.1 unlocking and locking the Premises; 4.5.2 the security of the Premises; 4.5.3 the behavior of all persons using the Premises whatever their capacity and for ensuring the persons leaving the Premises during or following the Permitted Hours shall do so in a orderly manner and in such a way as not to cause nuisance or annoyance to other users of the Premises or owners or occupiers of nearby premises. 4.6 Not to use the Premises in such a way as to cause any nuisance, damage, disturbance, annoyance, inconvenience or interference to any neighbouring or any adjoining property. 4.7 Not to do any act, matter or thing which would or might constitute a breach of any statutory requirement affecting the Premises or which would or might vitiate in whole or in part any insurance effected in respect of the Premises from time to time. 4.8 To keep the Licensor and all those authorised by it to use the Premises or any part thereof indemnified against all liability, damage, loss and injury, and costs and expenses of every description which may occur to or affect the Licensor or such other persons as aforesaid or its or their property arising from or through (a) the exercise of the licence by the Licensee or by any persons authorised by the Licensee including any persons invited by the Licensee or (b) the non- observance of any of the terms of this Licence however expressed or implied. 4.9 To observe such Rules and Regulations as the Licensor may make and of which the Licensor shall notify the Licensee from time to time governing the use of the Premises. 4.10 Not to impede in any way the Licensor or its officers, servants or agents in the exercise of the Licensor’s rights of possession and control of the Premises. 4.11 To use its best endeavours amicably and peaceably to share the use of the Premises with such other licensees or invitees whom the Licensor shall from time to time permit to use the Premises and shall not interfere with or otherwise obstruct such a shared use in any way whatsoever. 4.12 To make good and pay for all damage (including accidental damage) caused by the Licensee or its guests to the Premises or any of the fixtures, fittings and furniture in the Premises. 4.13 To take reasonable care of the Premises including its furnishings, fittings and equipment. 4.14 Not to use or permit any of the Premises to be used for an illegal purpose during the permitted periods of use. 4.15 Not to cut, maim or injure any of the walls or partitions of the Premises. 4.16 Not to store or bring upon the Premises any articles of especially combustible, inflammable or dangerous nature or of an illegal nature. 4.17 To comply with all recommendations of the Licensor’s insurers as to fire precautions relating to the Premises. 4.18 Not to keep in or on the Premises or any part of the Premises any dog or other animal, bird or pet. 4.19 To comply with the Lawn Tennis Association ClubSpark gate access and booking system. 4.20 To comply that the planning constraint that no floodlit tennis be played after 2100hrs in an evening or before 0900hrs in the morning. 4.21 Not to exhibit any advertisement, signboard, nameplate, inscription, flag, banner, placard or poster on any part of the Property except with the prior written consent of the Licensor; 4.22 On the termination of this Licence to vacate immediately the Premises and to leave the Premises in a clean and tidy condition and fixture and fittings in good working order.

LICENSEE’S UNDERTAKINGS. The 14.1 Without prejudice to any other provisions in the Agreed Terms, the Licensee agrees and undertakes:
(a) to pay to the Licensor the Event Fee in full in accordance with the Licensor as follows:
4.1 To pay the License Fee without any withholdings or deductions whether the same be demanded or notPayment Schedule;
4.2 To use (b) to hold the Premises only Event, as approved by the Licensor, during the Show Day Period (as defined in the Rules and Regulations) PROVIDED that such approval shall not relieve the Licensee from obtaining from such other relevant owners or persons or parties or authorities (whether under law or in contract) such licences, consents and/or approvals as may be necessary or applicable for the provision Event undertaken by the Licensee and to indemnify and hold the Licensor and its employees harmless from and against any and all actions, claims (including third party claims), demands, damages, expenses, compensation, costs (including legal costs on a solicitor and client basis), charges, liabilities, proceedings and other adverse consequences which the Licensor or its employees may suffer or incur arising out of activity associated with tennisor in connection thereto;
4.3 To keep (c) to maintain at the Premises clean and tidy and clear of rubbishLicence Area an attractive display in keeping with the standards maintained elsewhere in the Centre;
4.4 To provide (d) to carry out or cause to be carried out all setting-up works in a good workmanlike manner and maintain to replace, rectify, remedy and make good to the satisfaction of the Licensor any damage caused to the Licence Area and the Centre arising out of such setting-up works and comply with its own equipment stored obligations under Clause 20 in relation to any dismantling works;
(e) to ensure that all its appointed contractors or sub- contractors, employees and/or personnel are professionally trained or certified and shall be subject to the approval of the Licensor for any works to be carried out on the premisesLicence Area and the Centre;
4.5 The Licensee shall in respect of Permitted Hours be responsible for:
4.5.1 unlocking and locking the Premises;
4.5.2 the security of the Premises;
4.5.3 the behavior of all persons using the Premises whatever their capacity and for ensuring the persons leaving the Premises during or following the Permitted Hours shall do so in a orderly manner and in such a way as (f) not to cause nuisance or annoyance to other users of the Premises or owners or occupiers of nearby premises.
4.6 Not to use the Premises Licence Area and the Common Areas in such a way as to cause any nuisance, damage, disturbance, annoyance, inconvenience or interference to any neighbouring the Licensor or its other tenants, licensees, users or occupiers of the Centre or to the owners, tenants, licensees, users or occupiers of any adjoining property.and neighbouring Units and/or properties;
4.7 Not (g) not to do any act, matter or thing which would or might constitute a breach of any statutory requirement affecting the Premises Centre or which would or might vitiate in whole or in part any insurance effected in respect of the Premises from time to time.
4.8 To keep by the Licensor and all those authorised by it to use the Premises or any part thereof indemnified against all liability, damage, loss and injury, and costs and expenses of every description which may occur to or affect the Licensor or such other persons as aforesaid or its or their property arising from or through
(a) the exercise of the licence by the Licensee or by any persons authorised by the Licensee including any persons invited by the Licensee or (b) the non- observance of any of the terms of this Licence however expressed or implied.
4.9 To observe such Rules and Regulations as the Licensor may make and of which the Licensor shall notify the Licensee from time to time governing or which would or might increase the use of the Premises.premium on such insurance;
4.10 Not (h) not to impede in any way the Licensor collect, attempt to collect or its officers, servants or agents make announcements with a view to collecting donations and offerings in the exercise of the Licensor’s rights of possession and control of the Premises.
4.11 To use its best endeavours amicably and peaceably to share the use of the Premises with such other licensees Centre, whether for charity or invitees whom the Licensor shall from time to time permit to use the Premises and shall not interfere with or otherwise obstruct such a shared use in any way whatsoever.
4.12 To make good and pay for all damage (including accidental damage) caused by the Licensee or its guests to the Premises or any of the fixturesotherwise, fittings and furniture in the Premises.
4.13 To take reasonable care of the Premises including its furnishings, fittings and equipment.
4.14 Not to use or permit any of the Premises to be used for an illegal purpose during the permitted periods of use.
4.15 Not to cut, maim or injure any of the walls or partitions of the Premises.
4.16 Not to store or bring upon the Premises any articles of especially combustible, inflammable or dangerous nature or of an illegal nature.
4.17 To comply with all recommendations of the Licensor’s insurers as to fire precautions relating to the Premises.
4.18 Not to keep in or on the Premises or any part of the Premises any dog or other animal, bird or pet.
4.19 To comply with the Lawn Tennis Association ClubSpark gate access and booking system.
4.20 To comply that the planning constraint that no floodlit tennis be played after 2100hrs in an evening or before 0900hrs in the morning.
4.21 Not to exhibit any advertisement, signboard, nameplate, inscription, flag, banner, placard or poster on any part of the Property except with the without prior written consent approval of the Licensor;
4.22 On (i) to comply with all applicable requirements and regulations, obtain all necessary permits, licences, grants and approvals, give all notices, give all undertakings and guarantees, pay all fees, charges, taxes (including all Goods and Services Taxes payable in connection with the termination Agreed Terms) and duties, and bear all costs whatsoever in connection with the Licensee's use of this the Licence Area and/or the Centre;
(j) to vacate immediately permit the Premises Licensor's authorised officers, servants and agents to leave enter the Premises Licence Area for any purpose and at any time;
(k) not to allow or cause any livestock or animals whatsoever to be brought into the Centre unless they are for a purpose previously approved by the Licensor for or in a clean connection with the Event;
(l) to strictly observe and tidy condition ensure that all persons, including but not limited to the Licensee’s agents, clients, contractors, customers and fixture patrons, while in the Licence Area strictly observe all the non-smoking signs put up by the Centre in the Licence Area;
(m) to ensure that no advertising and fittings in good working ordersales of any kind whatsoever shall be made or conducted within the Centre and the surrounding premises unless prior written approval has been granted by the Licensor;
(n) to observe and comply with such written directions and instructions that the Licensor may from time to time issue to the Licensee governing the grant of the Licence, the Event and/or the use of the Licence Area and the Centre; and
(o) to observe and comply strictly with the Rules and Regulations of the Centre.

4.5.3 the behavior of all persons using the Premises whatever their capacity and for ensuring the persons leaving the Premises during or following the Permitted Hours shall do so in a orderly manner and in such a way as not to cause nuisance or annoyance to other users of the Premises or owners or occupiers of nearby premises.
4.6 3.4 Not to use the Premises in such a way as to cause any nuisance, damage, disturbance, annoyance, nuisance damage disturbance annoyance inconvenience or interference to any the Premises or adjoining or neighbouring property or any to the owners occupiers or users of such adjoining or neighbouring property.
4.7 3.5 Not to do any act, act matter or thing which would or might constitute a breach of any statutory requirement affecting the Premises or which would or might vitiate in whole or in part any insurance effected in respect of the Premises from time to time.
4.8 3.6 To indemnify the Licensor and keep the Licensor and all those authorised by it to use the Premises or any part thereof indemnified against all liability, damage, loss and injury, and losses claims demands actions proceedings damages costs and or expenses of every description which may occur to or affect the Licensor or such other persons as aforesaid or its or their property liability arising in any way from or through
(a) the exercise of the licence by the Licensee or by this Licence any persons authorised by the Licensee including any persons invited by the Licensee or (b) the non- observance breach of any of the terms Licensee’s undertakings contained in this clause or the exercise or purported exercise of this Licence however expressed any of the rights given in clause 2
3.7 Not to do or implied.
4.9 To observe such Rules and Regulations as permit or suffer any person exercising or purporting to exercise the rights given in clause 2 to do any act or thing on or in relation to the Premises which would or might cause the Licensor may make and to be in a breach of any of those matters contained in the Licensor’s title to the Premises which if done by the Licensor shall notify the Licensee from time to time governing the use would or might constitute a breach of the Premises.such matters

5. Not to display any signs, notices or advertisements on or within the Premises during or following without the Permitted Hours shall do so in a orderly manner and in such a way as not to cause nuisance or annoyance to other users prior written consent of the Premises or owners or occupiers of nearby premisesLicensor.
4.6 6. Not to use the Premises in such a way manner or for such purposes as may cause damage to the Premises or to adjoining or neighbouring property or as may cause any nuisance, damage, disturbance, annoyance, inconvenience or interference to any adjoining or neighbouring or any adjoining property.
4.7 7. Not to do or cause or permit to be done any act, act matter or thing which would or which might constitute Constitute a breach of any statutory requirement affecting the Premises Premise or which would or which might vitiate affect in whole or in part any insurance effected cover.
8. To indemnify and keep indemnified at all times throughout the continuance of the Agreement the Licensor against all losses, claims, demands, actions, proceedings, damages, costs or expenses or other liability arising in any way.
9. To pay all electricity, gas or utilities in respect of the Premises from time to timethroughout the continuance of this Agreement including (where applicable) VAT at the current rate.
4.8 To keep the Licensor and all those authorised by it to use the Premises or any part thereof indemnified against all liability, damage, loss and injury, and costs and expenses of every description which may occur to or affect the Licensor or such other persons as aforesaid or its or their property arising from or through
(a) the exercise of the licence by the Licensee or by any persons authorised by the Licensee including any persons invited by the Licensee or (b) the non- observance of any of the terms of this Licence however expressed or implied.
4.9 To observe such Rules and Regulations as the Licensor may make and of which the Licensor shall notify the Licensee from time to time governing the use of the Premises.
4.10 10. Not to impede in any way the Licensor or Licensor, its officers, officers servants or agents in the exercise of the Licensor’s rights of possession and control of the Premises., and to observe any regulations and requests made by the Licensor to ensure the good management of (Building Name)
4.11 11. To use its best endeavours amicably and peaceably to share the use observe any requests or notices made in respect of the Premises with such by the Local Authority or other licensees or invitees whom statutory authority and to indemnify the Licensor shall against the cost of compliance with any such notices and any damages, losses, costs or fines resulting from time to time permit to use any breach by the Licensee.
12. To insure and keep insured at all times throughout the continuance of this Agreement all stock and contents of the Premises and shall not interfere with or otherwise obstruct such a shared use at all time throughout the continuance of this Agreement to carry third party liability insurance in respect of any way whatsoever.
4.12 To make good and pay for all damage (including accidental damage) caused claims made by the Licensee or its guests to the Premises or any of the fixtures, fittings and furniture in public within the Premises.
4.13 To take reasonable care of the Premises including its furnishings, fittings and equipment.
4.14 Not to use or permit any of the Premises to be used for an illegal purpose during the permitted periods of use.
4.15 Not to cut, maim or injure any of the walls or partitions of the Premises.
4.16 Not to store or bring upon the Premises any articles of especially combustible, inflammable or dangerous nature or of an illegal nature.
