Common use of Licensee’s Use of Sonic Operations Manual Clause in Contracts

Licensee’s Use of Sonic Operations Manual. Licensee may not at any time, in any manner, directly or indirectly, and whether or not intentionally, copy any part of the Sonic Operations Manual, permit any part of it to be copied, disclose any part of it except to employees or other having a need to know its contents for purposes of operating the Sonic Restaurant, or permit its removal from the Sonic Restaurant without prior written consent from SONIC. Notwithstanding anything to the contrary contained in this Agreement and provided Licensee shall have obtained SONIC’s prior written consent, the restrictions on Licensee’s disclosure and use of the Confidential Information shall not apply to the following: (a) information, processes or techniques which are or become generally known in the food service industry, other than through disclosure (whether deliberate or inadvertent) by Licensee; and (b) disclosure of the Confidential Information in judicial or administrative proceedings to the extent that Licensee is legally compelled to disclose such information, provided Licensee shall have used its best efforts, and shall have afforded SONIC the opportunity, to obtain an appropriate protective order or other assurance satisfactory to SONIC of confidential treatment for the information required to be so disclosed.

Notwithstanding anything to the contrary contained in this Agreement and provided Licensee shall have obtained SONICSonic’s prior written consent, the restrictions on Licensee’s disclosure and use of the Confidential Information shall not apply to the following: (a) information, processes processes, or techniques which are or become generally known in the food service industry, other than through disclosure (whether deliberate or inadvertent) by Licensee; and (b) disclosure of the Confidential Information in judicial or administrative proceedings to the extent that Licensee is legally compelled to disclose such information, provided Licensee shall have used its best efforts, and shall have afforded SONIC Sonic the opportunity, to obtain an appropriate protective order or other assurance satisfactory to SONIC Sonic of confidential treatment for the information required to be so disclosed.
