Common use of Licenses Granted Clause in Contracts

Licenses Granted. All licenses or other agreements under which the Company has granted rights to others in Company Intellectual Property Assets are listed on Schedule 2.10(e). Except as set forth thereon, all such licenses or other agreements are in full force and effect, and to the knowledge of the Company there is no material default thereunder by any party thereto. True and complete copies of all such licenses or other agreements, and any amendments thereto, have been provided to Buyer.

Except as set forth thereon, all such licenses or other agreements are in full force and effect, and neither the Company nor, to the knowledge of the Company, GTC or the Stockholder, any other party thereto is in default thereunder. Prior to the date hereof, the Company there is no material default thereunder by any party thereto. True has provided to Buyer access to true and complete copies of all documents granting such licenses or other agreements, and any amendments thereto, have been provided to Buyer.
