Proper Use. The performance of Covered Hardware when operated in corrosive environments, or in conditions, or in a manner, outside of the Specifications including Seller’s site requirements found in the Documentation or not in accordance with its Documentation may have their performance adversely affected, and are therefore not guaranteed hereunder. The Purchaser agrees to use the Covered Hardware in a safe and reasonable manner pursuant to the Documentation and the Original Terms.
Proper Use. The licenses granted herein are subject to and conditioned on the requirements that Adopter shall not produce or sell devices or software (a) under color of this Agreement, or (b) using Confidential and Highly Confidential Information, where such devices or software are designed to circumvent the requirements or effectiveness of the Specification.
Proper Use. 5.1.1 CERES may use the Xxxx in connection with the promotion, marketing and selling of the LICENSED VARIETY, and CERES agrees that all use of the Xxxx shall only occur in connection with the LICENSED VARIETY and shall be in compliance with the terms of this EXHIBIT.
5.1.1 CERES may only use the Xxxx as a collective whole (as shown above) and shall not separately use any element or elements of the Xxxx. Notwithstanding the foregoing, CERES may make fair uses of specific terms (e.g., “research”) comprising the Xxxx.
5.1.2 The Xxxx is not to be altered and must be reproduced from the supplied artwork as provided by NOBLE from time to time. The Xxxx is not to be used in conjunction with any other xxxx or design, i.e., the Xxxx must stand alone in terms of its commercial impression generated by the particular usage; provided however, the parties acknowledge and agree that the Xxxx will appear on packaging and other related promotional material with other trademarks, service marks, and/or trade names (e.g., the CERES xxxx).
5.1.3 CERES has no right to sublicense the use of the Xxxx other than as described herein.
5.1.4 CERES may not use the Xxxx in connection with or for the benefit of non-Qualifying Products, whether CERES’ or another third party’s.
5.1.5 CERES must not use as its own trademark any word(s) or design(s) confusingly similar to the Xxxx.
5.1.6 NOBLE shall have the right to review and must pre-approve, in writing, any and all materials, including seed packaging, that includes or is intended to include the Xxxx.
Proper Use. Licensee agrees that all use of the Marks shall only occur in connection with the Music Content Aggregation Services and shall be in strict compliance with the terms of this Agreement. Licensee may use the Marks as set forth in Section 1.1 as well as in connection with the promotion of the Music Content Aggregation Services. Licensee shall use the Marks in conformance with Netscape's trademark guidelines ("Trademark Guidelines"), set forth in Exhibit B, which Trademark Guidelines may be revised by Netscape from time to time. Licensee agrees not to use any other trademark or service mark xx combination with the Marks other than as described in Section
1.1. Licensee has no right to sublicense, transfer or assign the use of the Marks or use the Marks for any other purpose other than the purpose described herein. Licensee may not use the Mark xx connection with, or for the benefit of, any third party's products or services. Licensee further agrees not to use the Marks on or in connection with any products or services that are or could be deemed by Netscape, in its reasonable judgment, to be obscene, pornographic, disparaging of Netscape or its products or products, or otherwise in poor taste, or that are themselves unlawful or whose purpose is to encourage unlawful activities by others.
Proper Use. Licensee covenants that the Licensed Software shall be used only in a manner consistent with the provisions of this Agreement. Without Licensor’s prior written consent, Licensee shall not transfer (except as permitted pursuant to Section 9.7) or create a security interest upon the Licensed Software or this Agreement.
Proper Use. Subscriber shall, and shall ensure that its Users, comply with this Acceptable Use Policy, the Agreement and all Documentation. iCIMS may deny Subscriber or any User use of the Subscription as may be required by iCIMS to effectuate its rights and obligations under or otherwise enforce this Acceptable Use Policy or the Agreement. iCIMS shall use commercially reasonable efforts to give Subscriber advance notice of any denial of such use, if practicable and not injurious to the legitimate commercial interests of iCIMS and its Affiliates. iCIMS shall not be responsible or liable for any use of the Subscription by the Subscriber, its Affiliates or Users that violates the terms of this Acceptable Use Policy.
Proper Use a. Customer shall not modify the Software or Source Code as defined in the Software License Agreement unless specifically authorized by AssetWorks in writing.
b. The Customer agrees that all reasonable effort shall be taken to ensure that neither the Software nor data files are misused or modified without the express written permission of AssetWorks.
c. In the event that the Customer or its agents misuses or modifies the Software or data files, including, but not limited to, inserting, updating, deleting or otherwise modifying data through a means other than the Software, although AssetWorks is not obligated to correct such misuse, AssetWorks shall be entitled to attempt to correct the situation, if possible, at Customer's expense.
d. In the event that diagnostic assistance is provided by AssetWorks, which, in the reasonable opinion of AssetWorks and the Customer, relates to problems not caused by a Deviation in the Software, such assistance shall be at the Customer's expense.
Proper Use. Client shall only use HELIAUS Services in a careful and proper manner and will comply with all laws, rules, ordinances, statutes, orders, and instructions from Allied Universal regarding the use, maintenance, and storage thereof. Client shall keep the Equipment and HELIAUS Services free and clear of any liens or other encumbrances and promptly pay all taxes, fees, licenses and governmental charges, together with any penalties or interest thereon, relating to its possession or use of the Equipment or HELIAUS Services. Client agrees to secure and maintain during the subscription term, any permit or professional licenses that might be required, and Client acknowledges that the cost, if any, of the permit or license will be that of the Client, along with any additional charges that might be imposed.
Proper Use. The proper use of wheeled recreational accessories, specifically but not limited to bicycles, skate boards, roller skates, roller blades and riding toys, shall be the responsibility of all TENANTs, guests and occupants. Proper use includes, but is not limited to, not interfering with motorized or pedestrian traffic and not riding in breezeways or on porches, sidewalks, steps or ramps. The use of wheeled recreational accessories, toys, etc., while being pulled by motor vehicles is strictly prohibited. Any activity that endangers the health, safety and well being of other persons or property on or about the entire apartment community shall be grounds for termination of TENANT’s
Proper Use. A. Use of sick time for purposes not listed in this Article or misrepresentation or fraud will constitute just cause for discipline.
B. The Union and the University recognize that good attendance is essential to the efficient and effective operation of the University. Both parties agree to work together to reduce excessive absenteeism and take appropriate action to correct sick time abuse.
