Licensing and Licenses. 13.1 The Lessee declares that it verified in practice the conformance of the leased premised to its needs and to the purpose of the lease and the ability to obtain all the licenses, permits and approvals required by law to operate the leased premises in accordance with the purposes of the lease, prior to entering its signature on this agreement. 13.2 The Lessee undertakes to obtain all the licenses and/or permits and/or approvals required by law to operate and/or manage its business in the leased premises, from any municipal and/or local and/or government and/or other authority. The Lessee shall forward to the Lessor, upon its written request on the matter, a copy of the said documents. 13.3 The Lessee declares that the Lessor bears no responsibility towards the Lessee for obtaining any of the said license and/or permit and/or approval. 13.4 The Lessee undertakes to ensure the renewal of any license and/or permit and/or approval required for its business in the leased premises throughout the lease period, to allow all work in the leased premises and its operation to be conducted throughout the lease period and any part thereof according to the provisions of any law, license, permit, approval, instruction, regulation and order, issued from time to time by any authorized authority, relating to the business operated in the leased premises. 13.5 In the event that an authorized authority stipulates terms for granting the license, permit or approval required to operate the business of the Lessee in the leased premises, to modify the leased premises, the Lessee undertakes to request the written advance consent of the Lessor to perform any required change. The Lessor is entitled to consent to the request or deny it on reasonable grounds. In the event that the Lessor consented to the request, the Lessee is entitled to perform the changes in the leased premises only in accordance with the written conditions issued by the Lessor, at the sole expense of the Lessee and the provisions of the following Clause 14 shall apply. 13.6 In the event that the Lessor denied the request and does not issue the required license and/or the permit and/or the approval to operate the business of the Lessee in the leased premises, the agreement shall be cancelled and the Lessee shall be required to vacate the leased premises from any person and object and return the keys of the leased premises to the Lessor, all no later than three months after the Lessor notifies its said denial.

Should the Lessee, for any reason whatsoever, fail to receive a permit for conducting its business, it shall not exempt the Lessee from payment of Rent Fees until the conclusion of the Lease Term under this Agreement, subject to the Lessor’s representations and undertakings and subject to the Lessor issuing the Lessee with the “Four Form” near the time of the actual Delivery Date.

Licensing and Licenses. 13.1 14.1. 14.5. The Lessee shall forward observe all laws, regulations, orders and bylaws that apply and/or that all apply during the Term of Lease to the LessorLeased Premises including use thereof, upon its written request on the matter, a copy of the said documents.
13.3 The Lessee declares business that the Lessor bears no responsibility towards the Lessee for obtaining any of the said license and/or permit and/or approval.
13.4 The Lessee undertakes to ensure the renewal of any license and/or permit and/or approval required for its business it conducts in the leased premises throughout Leased Premises and the lease period, to allow works that are performed therein and will observe all work the instructions set forth in the leased premises and its operation to be conducted throughout the lease period and any part thereof according to the provisions of any law, license, permit, approval, instruction, regulation and order, issued from time to time by any authorized authority, relating to the business operated in the leased premises.
13.5 In the event that an authorized authority stipulates terms for granting the license, permit or approval required to operate the business of the Lessee in the leased premises, to modify the leased premises, the Lessee undertakes to request the written advance consent of the Lessor to perform any required change. Licensing and Licenses. 13.1 11.1 The Lessee will be responsible for obtaining all the licenses and permits from the competent authorities that are required for purposes of conducting its business in the Leased Premises. The failure to obtain the aforesaid licenses, or some of them, by the Lessee will not constitute justification or ground for a breach of this Contract by the Lessee.
11.2 All the expenses connected with obtaining the licenses and/or the permits for use of the Leased Premises, including any payment that may be imposed by the local authority and/or the Israel Lands Administration in respect of exceptional use of the Leased Premises, shall be borne by the Lessee alone, including the expenses for adapting the Leased Premises to the requirements for the licenses and the permits. The Lessee alone shall bear responsibility in respect of a violation of the conditions of the aforesaid licenses and/or permits and/or in respect of the non-renewal thereof.
11.3 The Lessee declares that it verified in practice is conversant with its business and the conformance conditions for the licensing thereof, and that prior to it signing this Contract it was given the opportunity of examining and that it actually examined the suitability of the leased premised to its needs and Leased Premises to the purpose purposes of the lease and the ability to obtain all possibility of obtaining the licensesnecessary licenses for operating the Purpose of the Lease in the Leased Premises as it stands, permits and approvals required by law to operate that it found the leased premises in accordance zoning of the Leased Premises suitable for the Purpose of the Lease.

Licensing and Licenses. 13.1 29.1. The Lessee declares Lessor is not responsible to the Company for obtaining licenses or confirmations from the competent authorities, which are required for operating and managing the Company’s business in the Leased Premises (except for its responsibility for the issuance of a Form 4 for the Leased Premises on an outer shell level) and the Company hereby undertakes to obtain any license that is required by it verified in practice the conformance terms of the leased premised to its needs any law or permit, and to the purpose of the lease and the ability to obtain all the licenses, permits and approvals required by law to operate the leased premises ensure that its business is managed in accordance with the purposes license that is required by any municipal, government, local or other authority, as the case may be, and in the event that it is required in terms of a law or a requirement of a competent authority. A breach of this section will constitute a material breach of this Agreement. If the Lessor is required to pay such an amount which does not apply pursuant to the provisions of this Agreement, the Company will indemnify the Lessor in respect of any amount that it is required to pay as stated above, subject to furnishing valid proof of payment and against a tax invoice. For the avoidance of doubt it is hereby clarified that what is stated above shall not detract from the Lessor’s obligation to carry out, at its expense, what is required for the purpose of obtaining a Form 4 for the Leased Premises on an outer shell level. What is stated above shall not derogate from the Lessor’s obligation to assist the Lessee in obtaining a Form 4 or completion agreement as stated in Section 16.4 above. It is hereby clarified that in the event that construction changes are required in the structure of the leaseLeased Premises for the purpose of meeting the requirements and/or for obtaining the confirmations and/or the licenses required by the Lessee, prior to entering its signature on this agreementas stated above, the provisions of Section 4.2.2 above shall apply.
13.2 29.2. The Lessee undertakes to obtain all the licenses and/or permits and/or approvals required by law to operate and/or manage its business in and, inter alia, to comply with all the leased premises, from any municipal and/or local and/or government and/or other authority. The Lessee shall forward to the Lessor, upon its written request on the matter, a copy requirements by virtue of the said documents.
13.3 The Lessee declares that Business Licensing Law, 5728-1968 (hereinafter in this section: the Lessor bears no responsibility towards “Law”) and its regulations and any other legislation dealing with the Lessee for obtaining any regulation of the said license and/or permit and/or approval.
13.4 The Lessee undertakes to ensure the renewal business licensing of any kind in general and the Lessee’s business in particular, and to obtain any license and/or and permit and/or approval that is required under the Law for its the purpose of managing the Lessee’s business in the leased premises throughout Leased Premises in accordance with Purpose of the lease periodLease, if required, and to allow all work in the leased premises and its operation to be conducted throughout the lease renew it every year and/or every period and any part thereof as required according to the provisions of any law. The Company hereby declares that it is familiar with the terms and conditions of the license, permitif required by law or a requirement of a competent authority, approvaland that prior to it signing this Agreement, instructionit was afforded an opportunity to check and to actually inspect the suitability of the Leased Premises to the Purpose of the Lease and the possibility of obtaining a license or licenses that are required to operate the Leased Premises AS IS for the Purpose of the Lease, regulation and orderthat it found the Leased Premises to be suitable for the Purpose of the Lease, issued all subject to the correctness of the Lessor’s declarations in Section 4.1 above and the provisions in Section 9.2 above.
29.4. The operating hours of the business that will be run in the Leased Premises will be as is determined from time to time by any authorized authority, relating to the business operated law and/or in the leased premises.
13.5 In UBP and by any competent authority (hereinafter: the event “Operating Hours”). It is hereby clarified that an authorized authority stipulates terms for granting the license, permit or approval required Lessee will be entitled to operate the business of the Lessee in the leased premisesLeased Premises at night, to modify the leased premiseson Saturdays, the Lessee undertakes to request the written advance consent of the Lessor to perform any required change. If the use according to the Purpose of Rent requires a legal license, the Tenant undertakes to attend to obtaining such license. The Tenant shall bear any liability due to running an unlicensed business in the Leasehold in case such license is required. If, due to any reason, the Tenant fails to obtain a permit to run its business in the Leasehold, this shall not release the Tenant from paying the Rent until the end of the Term of Rent pursuant to this agreement.
13.4 17.4 The Lessee Tenant undertakes to ensure attend to, throughout the entire Term of Rent, the renewal of any license and/or permit and/or approval confirmation required for its a business in the leased premises Leasehold, such that throughout the lease period, to allow all work in entire Term of Rent and/or the leased premises and its operation to be conducted throughout the lease period Term of Option and any part thereof according thereof, the work in and the operation of the Leasehold is carried out as required by the law and pursuant to the provisions terms of any law, license, permit, approvalconfirmation, instructionprovision, regulation and order, order issued from time to time by any authorized authority, relating to competent authority in connection with the business operated managed in the leased premisesLeasehold.

The Tenant releases the Renter from any liability in respect of the Lessee signposting. The size and the provisions content of the following Clause 14 sign shall apply.

Licensing and Licenses. 13.1 26.1 The Lessor is not responsible to the Lessee for obtaining licenses or approvals from the competent authorities, which are required for the operation and conduct of the Lessee's business in the Leased Premises. Under no circumstances shall the letting of the Leased Premises to the Lessee and/or the execution of Alterations to the Building be deemed to be a declaration or representation on the part of the Lessor to the effect that the Lessee will be granted licenses for operating the Leased Premises for the purposes of the lease. The Lessee hereby undertakes to obtain any license it requires and to see to it that its business is conducted in accordance with the license required by any municipal, governmental, local or other authority, all as the case may be. Should an order prohibiting use be issued against the Lessee's business in the Leased Premises, the Lessee shall forthwith cease the prohibited use.
26.2 The Lessee shall, throughout the Period of Lease, attend to the renewal of the licenses and the approvals which are acquired, so that the operation of the Leased Premises and the work therein shall be carried out in accordance with the provisions of any law pertaining thereto and in accordance with the terms and conditions of any license and/or directives and/or regulations which may be issued from time to time by any competent authority in relation to or in connection with the business conducted in the Leased Premises.
26.3 Should the Lessee fail to commence its operations at the time of delivery of occupation, inter alia for the reason that it has not obtained a license required pursuant to this clause above, all the provisions contained in this Agreement shall apply to the Lessee and the failure to obtain such license shall not constitute a reason for the breach of any of the Lessee's obligations.
26.4 In the event that any competent authority has made the issue of the license for the operation of the Lessee's business in the Leased Premises conditional upon the execution of alterations within the Leased Premises, the Lessee shall be obliged to request the Lessor's prior consent to the execution of any such alteration. The Lessor may agree or not agree to any such alteration. If the Lessor does agree to the alteration, same shall be performed by the Lessee at its expense under conditions stipulated by the Lessor, to the extent that such conditions were stipulated.
26.5 The Lessee hereby declares that it verified is conversant with its business and the conditions for the licensing thereof, and that prior to its signing this Agreement it was given the opportunity of examining, and that it did in practice fact examine, the conformance suitability of the leased premised to its needs and Leased Premises to the purpose of the lease and the ability possibility of obtaining a license or licenses which are required for operating the purpose of the lease in the Leased Premises as it stands, and that it found the Leased Premises to obtain all the licenses, permits and approvals required by law to operate the leased premises in accordance with be suitable for the purposes of the lease, prior to entering its signature on this agreement.
13.2 The Lessee undertakes to obtain all the licenses and/or permits and/or approvals required by law to operate and/or manage its business in the leased premises, from any municipal and/or local and/or government and/or other authority. The Lessee foregoing shall forward to the Lessor, upon its written request on the matter, a copy of the said documents.

13.5 In the event that an authorized authority stipulates terms for granting the license, permit or approval required to operate the business of the Lessee in the leased premises, to modify the leased premises, the Lessee undertakes to request the written advance consent of the Lessor to perform any required change. The Lessor is entitled to consent to the request or deny it on reasonable grounds. In the event that the Lessor consented to the request, the Lessee is entitled to perform the changes in the leased premises only in accordance with the written conditions issued by the Lessor, at the sole expense of the Lessee and the provisions of the following Clause 14 shall apply.
13.6 In the event that the Lessor denied the request and does not issue the required license and/or the permit and/or the approval to operate the business of the Lessee in the leased premises, the agreement shall be cancelled and the Lessee shall be required to vacate the leased premises from any person and object and return the keys of the leased premises to the Lessor, all no later than three months after the Lessor notifies its said denial.

Licensing and Licenses. 13.1 15.1.14.1. The Lessee shall be solely responsible for obtaining all licenses and permits that are required by the competent authorities for the purpose of using and operating the Leased Premises in accordance with the Purpose of Lease and in accordance with the provisions set forth in the Concession Agreement after signing thereof and shall incur any payment in connection therewith.
15.2.14.2. The Lessee declares that it verified is familiar with its business and the conditions that are required for the purpose of obtaining any license and/or certificate and/or permit for the purpose of operating the Leased Premises in practice accordance with the conformance Purpose of Lease and that it was afforded the opportunity to inspect and that it inspected de facto the compliance of the leased premised to Leased Premises with its needs requirements and to the purpose Purpose of the lease Lease and the ability possibility to obtain all the licenses, permits and approvals that are required by law to operate for the leased premises purpose of operating the Leased Premises in accordance with the purposes Purpose of Lease and found the lease, prior to entering its signature on this agreementLeased Premises compatible with the Purpose of Lease.
13.2 The 15.3.14.3. During the entire Term of Lease the Lessee undertakes shall renew all licenses and permits as required.
15.4.14.4. Failure to obtain all the licenses and/or the permits and/or approvals required by law any thereof shall not release the Lessee from all its obligations in accordance with this Agreement, including the payment of all payments applicable to operate the Lessee in accordance with this Agreement. In case the Lessor made any payment in lieu of the Lessee the Lessee shall return the said amount, including interest accumulated in respect whereof, in seven days and this shall not derogate from the rights of the Lessor in accordance with the provisions set forth in this Agreement and/or manage its business in accordance with the leased premises, from provisions set forth in any municipal and/or local and/or government and/or other authoritylaw.
15.5.14.5. The Lessee shall forward observe all laws, regulations, orders and bylaws that apply and/or that all apply during the Term of Lease to the LessorLeased Premises including use thereof, upon its written request on the matter, a copy of the said documents.
13.3 The Lessee declares business that the Lessor bears no responsibility towards the Lessee for obtaining any of the said license and/or permit and/or approval.
13.4 The Lessee undertakes to ensure the renewal of any license and/or permit and/or approval required for its business it conducts in the leased premises throughout Leased Premises and the lease period, to allow works that are performed therein and will observe all work the instructions set forth in the leased premises and its operation to be conducted throughout the lease period and any part thereof according to the provisions of any law, license, permit, approval, instruction, regulation and order, issued from time to time by any authorized authority, relating to the business operated in the leased premises.

Licensing and Licenses. 13.1 10.1 The Lessee declares that hereby undertakes to obtain any license it verified in practice the conformance of the leased premised to its needs requires and to arrange for the business to be managed by it pursuant to any license required, pursuant to any law, including from any municipal, government, local or other authority, for the purpose of operating and managing the lease Lessee's business in the Object of the Lease. The Lessor shall co-operate and sign any document which may be required by the ability Lessee for the purpose of obtaining a business license and which does not contradict the conditions hereof (within no later than 14 days after the date it is sent to obtain all the licenses, permits Lessor for signing).
10.2 The Lessee shall be obliged throughout the entire Term of the Tenancy to arrange for the renewal of the licenses and approvals required by law to operate for the leased premises in accordance with the purposes purpose of the lease, prior to entering operating and managing its signature on this agreementaforesaid business.

11.1 Without derogating from the Lessee's liability pursuant to any law and/or pursuant to the contents of the said license and/or permit and/or approval.
13.4 The Lessee undertakes to ensure the renewal of any license and/or permit and/or approval required for its business in the leased premises throughout the lease period, to allow all work in the leased premises and its operation to be conducted throughout the lease period and any part thereof according to the provisions of any law, license, permit, approval, instruction, regulation and order, issued from time to time by any authorized authority, relating to the business operated in the leased premises.
13.5 In the event that an authorized authority stipulates terms for granting the license, permit or approval required to operate the business of the Lessee in the leased premises, to modify the leased premisesLease, the Lessee undertakes to request before the written advance consent date of receiving possession of the Lessor Object of the Lease, to perform take out and maintain throughout the entire term of the Lease and the term of the extension thereof, at its own expense, the insurances specified below ( which shall hereinafter be called: "the Lessee's Insurances") and the confirmations of the existence of such the insurances is attached to the Lease as an inseparable part thereof and on the conditions stated therein, with a duly authorized and reputable insurance company:
11.1.1 Insurance for the building of the Object of the Lease including the contents of the Object of the Lease including the equipment and inventory serving the Object of the Lease and which is situated outside it and also any required changemodification, improvement and addition to the Object of the Lease which have been made and/or shall be made by the Lessee and/or on its behalf, based on the full value thereof for the Lessee, against loss or damage due to standard risks in extended fire insurance, including fire, smoke, lightning, explosion, earthquake, riots, strikes, intentional damage, storm, hurricane, flood, liquids and cracking damages, damage by vehicles, damage by aircraft, robbery, theft, and burglaries. The Lessor is entitled to consent to insurance shall contain an express clause whereby the request or deny it on reasonable grounds. In insured waives the event that the Lessor consented to the request, the Lessee is entitled to perform the changes in the leased premises only in accordance with the written conditions issued by right of substitution vis-à-vis the Lessor, at the sole expense management company and the agents thereof and also vis-à-vis the other lessees and/or tenants and/or owners in the commercial center building (whose insurances contain a parallel clause regarding waiver of the Lessee and right of substitution vis-à-vis the provisions Lessee) provided that the aforesaid concerning the waiver of the following Clause 14 right of substitution shall applynot apply in favor of a person who caused damage intentionally.
13.6 In the event that the Lessor denied the request and does not issue the required license and/or the permit and/or the approval to operate the business of the Lessee in the leased premises, the agreement shall be cancelled and the Lessee shall be required to vacate the leased premises from any person and object and return the keys of the leased premises to the Lessor, all no later than three months after the Lessor notifies its said denial.
