Licensor Responsibilities. 5.1 The Licensor warrants that:
(a) it has all authority and rights necessary for the purposes of this Licence Agreement;
(b) the Licensed Material is owned by or licensed to the Licensor and does not infringe the Intellectual Property Rights or other rights of any third party;
(c) the content of the Licensed Material is not unlawful or false or misleading or offensive or pornographic or obscene or derogatory or discriminatory or racist or defamatory or inflammatory;
(d) the Licensed Material complies with the Specification;
(e) the availability of the Licensed Material will be as stated in the Specification;
(f) the documentation, support services and training materials shown in the Specification are not less than that which the Licensor provides with the Licensed Material to its other customers;
(g) the documentation, support services and training materials shown in the Specification have been prepared and will be supplied with the skill and care of a competent provider of similar documentation, services and materials;
(h) it will make updates and new versions available in accordance with the descriptions and frequencies shown in the Specification. In any event, the Licensor shall make updates and new versions available to the Licensee whenever it makes the same updates and new versions available to its other customers;
(i) it will provide, or arrange for a service provider to provide on its behalf, the support services set out in the Specification via phone and email. Support services for major incidents must be available for at least two normal business hours on normal business days in the UK;
(j) the Licensor does not warrant that the content of the Licensed Material is correct or complete but warrants that the Licensed Material and its content have been reasonably checked and are not known to contain material errors. The Licensor will make reasonable attempts to promptly correct errors discovered by the Licensor or brought to its attention. Content errors may be corrected by publishing errata.
5.2 The undertakings in clause 5.1 replace all conditions and warranties which may otherwise be implied by statute, common law or otherwise. The Licensor makes no representation express or implied with regard to the fitness of the Licensed Material for any purpose.

(a) LICENSOR shall establish a dedicated account manager for communications with RESELLER and shall actively manage the relationship between the parties. The account manager will be the focal point for all issues and questions that may arise during this relationship and shall be available by pager at all times. Escalation procedures have been defined by both the LICENSOR and RESELLER as outlined in Exhibit C.
(b) LICENSOR shall provide RESELLER's Subscribers with access to its Paging System to initiate and receive paging messages and shall use commercially reasonable good faith efforts to provide continuous network service in the geographical locations where LICENSOR is legally authorized and has the facilities to provide SERVICES.
(c) The SERVICES provided by LICENSOR for resale by RESELLER shall include but not be limited to those listed on Exhibit A hereto as amended by the parties from time to time.
(d) LICENSOR shall assign and coordinate all DID, CAP Code and, at RESELLER's option, toll free numbers in order to ensure the compatible initiation of SERVICES to RESELLER's Subscribers placed on LICENSOR's Paging System. LICENSOR shall provide at no charge, all required software, documentation and training to RESELLER to authorize and enable RESELLER to initiate and terminate SERVICES to RESELLER's customers as Subscribers on LICENSOR's Paging System.
Licensor Responsibilities. (a) LICENSOR shall provide RESELLER's Subscribers with access to its Paging System and shall use its good faith efforts to provide continuous network service in the geographical locations where LICENSOR is legally authorized and has the facilities to provide SERVICES.
(b) The SERVICES provided by LICENSOR shall include but not be limited to:
(1) Numeric display - as long as there is frequency space available, unlimited numeric display paging; and
(2) Alpha-numeric - as long as there is frequency space available, unlimited alpha-numeric paging.
(c) LICENSOR shall assign and coordinate all telephone and CAP code numbers in order to ensure the compatible initiation of SERVICES to Subscribers placed on LICENSOR's Paging System.

However, Licensor shall not be responsible for the accuracy of information included in the Service which was supplied by or otherwise made available by electronic journal vendors or aggregators and shall not be responsible for any mistakes, errors or omissions contained within such information.
b. Licensor may from time to time make such enhancements or modifications to the Service as Licensor deems necessary or desirable, and such enhancements or modifications shall be made available, at no cost, to the Licensees. Licensor shall not be responsible for maintaining or supporting any replaced versions of the Service’s software or database.
c. Licensor will use commercially reasonable efforts to provide continuous access to the Service, subject to periodic unavailability due to maintenance of Licensor’s server(s), installation or testing of the Service, data loading, and downtime related to equipment or services outside the control of Licensor, including public or private telecommunications services or Internet nodes or facilities.
d. Licensor shall provide appropriate user documentation to each Licensee.
e. Licensor shall provide training and other support services to Licensees at prices specified in Appendix C and on a mutually-agreeable schedule.
f. Licensor shall maintain the confidentiality of Licensees’ confidential and personal information which comes into the possession of Licensor during the term of this Agreement.

Licensor Responsibilities. Licensor will use its commercially reasonable efforts to cause the Data Center and Module(s) to be maintained in efficient working order in accordance with this Agreement. Licensor may, upon advance notice (to the extent applicable circumstances permit), access the Customer Area at any time it reasonably deems appropriate to address maintenance, repair, inspection, operational or safety matters. Should any condition exist that may impair the functionality of the Data Center or Module(s), Licensor may initiate planned maintenance, which may include disconnection of all or any part of the Data Center and/or Module(s). Licensor will, to the extent reasonably practicable, give Customer seven (7) business days’ notice in writing (or such shorter period as may be reasonably necessary), prior to initiating a planned maintenance operation, of the timing and scope of such planned maintenance operation. Licensor will use all reasonable efforts to conduct planned maintenance outages, if any, of the Data Center and/or Module(s) during the hours of 01:00 a.m. and 06:00 a.m. local time on Monday.
