Common use of Lien Searches Clause in Contracts

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of relevant jurisdiction with respect to the jurisdictions where assets of the Loan Parties are locatedBorrower and its Subsidiaries, and such search shall reveal no liens on any of the assets of the Loan Parties Borrower or its Subsidiaries except for liens permitted by Section 6.02 6.3 or liens to be discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent customary lien search in each of the jurisdictions where assets of the Loan Parties are locatedsearches, and such search searches shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of jurisdiction where the jurisdictions Loan Parties are organized and where the assets of the Loan Parties are located, and such search shall reveal no liens Liens on any of the assets of the Loan Parties except for liens Liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where in which Uniform Commercial Code financing statement or other filings or recordations should be made to evidence or perfect security interests in all assets of the Loan Parties are locatedParties, and such search shall reveal no liens on any of the assets of the Loan Parties Party, except for liens Liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent7.3.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions jurisdiction where assets of the Loan Parties are organized and where the assets constituting a material portion of the Collateral are located, and such search shall reveal no liens Liens on any of the assets of the Loan Parties except for liens Liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search (1) in each of the jurisdictions jurisdiction where assets of the Loan Parties are locatedorganized and (2) in the jurisdiction of each such entity’s principal place of business, and such search searches shall reveal no liens Liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 Permitted Liens or subject to satisfactory estoppel letters discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 7.3 or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search or equivalent search in each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens Liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation (including required filings) satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in the central filing office (and, to the extent requested by the Administrative Agent, the local filing offices) of each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 7.3 or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no material liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off payoff letter or other documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search searches in each of the jurisdictions jurisdiction where assets of the any Loan Parties are locatedParty was formed or organized, and such search searches shall reveal no liens on any of the assets of the Loan Parties such Person except for liens Liens permitted by Section 6.02 7.3 or liens to be discharged on or prior to the Effective Closing Date (which liens shall be discharged pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent).

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens on any of the assets of the Loan Parties Eligible Unencumbered Assets except for liens permitted by Section 6.02 Permitted Encumbrances and Permitted Equipment Liens or Liens discharged or to be discharged on or prior to the Effective Date (or to secure Refinancing Mortgages) pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien and judgment search in each of the jurisdictions where assets of Holdings the Loan Parties are located, and such search shall reveal no liens Liens on any of the assets of Holdings or the Loan Parties Parties, except for Permitted Liens, liens permitted by Section 6.02 or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of jurisdiction where the jurisdictions Loan Parties are organized and where the assets of the Loan Parties are located, and such search shall reveal no liens Liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 Permitted Liens or Liens that are discharged on or prior to the Restatement Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 7.3 or discharged or to be discharged on or prior to the Effective Funding Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search searches in each of the jurisdictions where assets any of the Loan Parties are locatedis formed or organized, and such search searches shall reveal no liens on any of the assets of the Loan Parties except for liens Liens permitted by Section 6.02 or 7.3, Liens to be discharged on or prior to the Effective Closing Date, or Liens securing obligations of the Group Members under the Existing Indebtedness, which Liens shall be discharged substantially contemporaneously with the Closing Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative AgentPayoff Letter.

The Administrative Agent shall have received the results of a recent lien search searches in each of the jurisdictions jurisdiction where assets of the any Loan Parties are locatedParty or Enterasys was formed or organized, and such search searches shall reveal no liens on any of the assets of the Loan Parties such Person except for liens Liens permitted by Section 6.02 7.3 or liens to be discharged on or prior to the Effective Restatement Date (which liens shall be discharged pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent).

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties Borrower and its Restricted Subsidiaries are located, and such search shall reveal no liens on any of the assets of the Loan Parties Borrower or any Restricted Subsidiary except for liens permitted not prohibited by Section 6.02 this Agreement or Liens discharged on or prior to the Effective Closing Date or with respect to which are to be discharged pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent or the Collateral Agent shall have received the results of a recent lien search in each of the jurisdictions where the Loan Parties are organized or where assets of the Loan Parties are locatedlocated (to the extent such lien searches are available in such jurisdictions), and such search shall reveal no liens Liens on any of the assets of the Loan Parties except for liens Liens permitted by Section 6.02 7.13 or discharged on or prior to the Restatement Effective Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions and offices in the United States where liens on material assets of the Loan Parties are locatedrequired to be filed or recorded, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens Liens permitted by Section 6.02 6.3 or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search with respect to each Loan Party in the jurisdiction where each of the jurisdictions where assets of the such Loan Parties are Party is located, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 8.3 or discharged on substantially concurrently with or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of the relevant jurisdictions where assets of the Loan Parties are locatedincorporated, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 6.3 or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter the Plan of Reorganization or other documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens on any of the assets of the Loan Parties Borrower or its Subsidiaries except for liens permitted by Section 6.02 7.3 or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent customary lien search in each of the jurisdictions where assets of the Loan Parties are locatedsearch, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are locatedorganized (including relevant prior names), and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent customary lien search in each of the jurisdictions where assets of the Loan Parties are locatedsearches (including with respect to intellectual property), and such search searches shall reveal no liens Liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or that will be discharged on or prior to the Effective Date pursuant to a pay-off payoff letter or other documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of the such jurisdictions where assets of the Loan Parties are locatedas it may have requested, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

The Term Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation satisfactory to the Term Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions (in the United States and the Republic of Ireland) where assets of the Loan Parties are located, and such search shall reveal no liens Liens on any of the assets of the Loan Parties except for liens Liens permitted by Section 6.02 7.2 or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets listed for each of the Loan Parties are locatedon Schedule 4.19, and such search shall reveal no liens on any of the assets of Holdings, the Loan Parties Borrower or its Subsidiaries except for liens permitted by Section 6.02 7.3 or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of jurisdiction where the jurisdictions Loan Parties are organized and, to the extent requested by the Administrative Agent, where the assets of the Loan Parties are located, and such search shall reveal no liens Liens on any of the assets of the Loan Parties except for liens Liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each jurisdiction where the Loan Parties are organized and where a material portion of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens Liens on any of the assets of the Loan Parties except for liens Liens permitted by Section 6.02 or to be discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are located, and such search report shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Third Restatement Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search (or, where not available, such other equivalent information available and reasonably satisfactory to the Administrative Agent) in each of the material domestic jurisdictions where assets of the Loan Parties are located, and such search (or equivalent information) shall reveal no liens on any of the assets of the Loan Parties Borrower or its Subsidiaries except for liens permitted by Section 6.02 subsection 7.1 or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Other than with regard to the Netherlands jurisdiction, the Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens on any of the assets of the Loan Parties Borrower or its Subsidiaries except for (i) Permitted Liens, (ii) liens permitted by Section 6.02 to be discharged or discharged assigned to the Collateral Agent on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative AgentAgents or (iii) liens which in the aggregate are reasonably determined by the Agents to be immaterial.

The Administrative Agent shall have received the results of a recent lien search in each of relevant jurisdiction with respect to the jurisdictions where assets of the Loan Parties are locatedBorrower and its Subsidiaries, and such search shall reveal no liens on any of the assets of the Loan Parties Borrower or its Subsidiaries except for liens permitted by Section 6.02 6.3 or liens to be discharged on or prior to the Amendment/Restatement Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in the central filing office (and, to the extent reasonably requested by the Administrative Agent, the local filing offices) of each of the jurisdictions where assets of the Loan Parties are located, and such search shall reveal no liens on any of the assets of the Loan Parties except for liens permitted by Section 6.02 7.3 or discharged on or prior to the Effective Closing Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions where assets of the Loan Parties are locatedorganized, and such search shall reveal no liens Liens on any of the assets of the Loan Parties except for liens Liens (i) permitted by Section 6.02 or (ii) discharged (or for which effective provision for discharge has been made) on or prior to the Effective Date pursuant to a pay-off letter or other documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search of the Borrowers, certain of the other material Loan Parties in each of the jurisdictions where assets of the such Loan Parties are located, and such search shall reveal no liens on any of the assets of the such Loan Parties except for liens Liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.

The Administrative Agent shall have has received the results of a recent lien search in each of jurisdiction where the jurisdictions Loan Parties are organized and where the assets of the Loan Parties are located, and such search shall reveal reveals no liens Liens on any of the assets of the Loan Parties except for liens Liens permitted by Section 6.02 or discharged on or prior to the Effective Date pursuant to a pay-off letter or other documentation satisfactory to the Administrative Agent.
