Common use of Lien Searches Clause in Contracts

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions in which Uniform Commercial Code financing statement or other filings or recordations should be made to evidence or perfect security interests in all assets of the Loan Parties in which a security interest may be created under the Uniform Commercial Code, and such search shall reveal no liens on any of the assets of the Loan Party, except for Liens permitted by Section 7.3.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions in which Uniform Commercial Code financing statement or other filings or recordations should be made to evidence or perfect security interests in all assets of the Loan Parties in which a security interest may be created under the Uniform Commercial CodeGroup Members, and such search shall reveal no liens on any of the assets of the Loan PartyGroup Members, except for Liens permitted by Section 7.3.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search searches in each of the jurisdictions in which Uniform Commercial Code financing statement or other filings or recordations should be made to evidence or perfect security interests in all or any portion of the assets of the Loan Parties in which a security interest may be created under the Uniform Commercial Code(including, without limitation, tax liens, judgments, litigation, trademark liens, ship mortgages and UCC filings), and such search searches shall reveal no liens on any of the assets of the Loan PartyParties, except for Liens permitted by Section 7.3.

Lien Searches. The Administrative Agent shall have received the results of a recent lien lien, tax lien, judgment and litigation search in each of the jurisdictions or offices in which Uniform Commercial Code financing statement statements or other filings or recordations should be made to evidence or perfect first priority security interests in all assets tangible and intangible property of the Loan Parties in which a security interest may be created under the Uniform Commercial CodeBorrowers, and such search shall reveal no liens Liens on any of the assets tangible and intangible property of the Loan Party, Borrowers except for the Permitted Liens permitted by Section 7.3set forth in Schedule 1.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions in which Uniform Commercial Code financing statement or other filings or recordations should be made to evidence or perfect security interests in all assets of the Loan Parties in which a security interest may be created under the Uniform Commercial CodeParties, and such search shall reveal no liens Liens on any of the assets of the Loan PartyParties, except for Liens incurred in the normal course of the Loan Parties’ business which are reasonably acceptable to the Administrative Agent; provided, that such Liens on the Collateral are permitted by under Section 7.36.3.

The Administrative Agent shall have received the results of a recent lien search Lien searches, in each of form and substance reasonably satisfactory thereto, made against the jurisdictions in which Loan Parties under the Uniform Commercial Code financing statement (or other applicable judicial docket) as in effect in each jurisdiction in which filings or recordations under the Uniform Commercial Code should be made to evidence or perfect security interests in all assets of the such Loan Parties in which a security interest may be created under the Uniform Commercial CodeParty, and such search shall reveal no liens on any of indicating among other things that the assets of the each such Loan Party, Party are free and clear of any Lien (except for Liens permitted by Section 7.3Permitted Liens).

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions in which Uniform Commercial Code financing statement or other filings or recordations should be made to evidence or perfect security interests in all assets of the Loan Parties in which a security interest may be created under the Uniform Commercial CodeParties, and such search shall reveal no liens on any of the assets of the Loan Party, except for Liens permitted by Section 7.38.3.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions in which Uniform Commercial Code financing statement or other filings or recordations should be made to evidence or perfect security interests in all assets of the Loan Parties in which a security interest may be created under the Uniform Commercial CodeCollateral, and such search shall reveal no liens on any of the assets of the Loan PartyCollateral, except for Liens permitted by Section 7.3.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions in which Uniform Commercial Code financing statement or other filings or recordations should be made to evidence or perfect security interests in all assets of the Loan Parties in which a security interest may be created under the Uniform Commercial CodeParties, and such search shall reveal no liens on any of the assets of the Loan PartyParties, except for Liens permitted by Section 7.36.3.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions in which Uniform Commercial Code financing statement statements, or other filings or recordations recordings should be made to evidence or perfect security interests (or hypothecs, as applicable) in all assets of the Loan Parties in which a security interest may be created under the Uniform Commercial CodeParties, and such search shall reveal no liens on any of the assets of the Loan Party, Parties except for Liens permitted by Section 7.37.3 or discharged on or prior to the Closing Date pursuant to documentation reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions in which Uniform Commercial Code financing statement statements, Personal Property Security Act financing statements, or other filings or recordations should be made to evidence or perfect security interests in all assets of the Loan Parties in which a security interest may be created under the Uniform Commercial CodeParties, and such search shall reveal no liens on any of the assets of the Loan Party, except for Liens permitted by Section 7.37.3 or liens to be discharged on or prior to the Closing Date.

The Administrative Agent and the Collateral Agent shall have received the satisfactory results of a recent lien search searches in each of the jurisdictions in which Uniform Commercial Code financing statement or other filings or recordations should be made to evidence or perfect security interests in all assets of the Loan Parties in which a security interest may be created under the Uniform Commercial CodeParties, and such search shall reveal no liens on any of the assets of the Loan Party, except for Liens permitted by Section 7.37.03 or pursuant to other documentation satisfactory to the Administrative Agent and the Collateral Agent.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions (including the United States of America and the provinces of Canada) or offices in which Uniform Commercial Code financing statement statements or financing statements under Personal Property Security Legislation or other filings or recordations should be made to evidence or perfect security interests in all assets of the Loan Parties in which a security interest may be created under the Uniform Commercial CodeParties, and such search shall reveal no liens on any of the assets of the Loan Party, except for Liens permitted by Section 7.3.

Lien Searches. The General Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions in which Uniform Commercial Code financing statement or other filings or recordations should be made to evidence or perfect security interests in all assets of the Loan Parties in which a security interest may be created under the Uniform Commercial CodeParties, and such search shall reveal no liens on any of the assets of the Loan Party, except for Liens permitted by Section 7.311.3.

Lien Searches. The Administrative Agent shall have received the results of a recent lien search in each of the jurisdictions in which Uniform Commercial Code financing statement statements or other filings or recordations have been or should be made to evidence or perfect security interests in all assets of the Loan Parties in which a security interest may be created under the Uniform Commercial CodeParties, and such search shall reveal no liens on any of the assets of the Loan PartyParties, except for Liens permitted by Section 7.37.3 or Liens to be discharged on or prior to the Closing Date pursuant to documentation satisfactory to the Administrative Agent.
