Limitation of Issuance of Common Stock. Unless and until (1) the -------------------------------------- Stockholder Consent is obtained, (2) the Company is notified by the NNM, the National Association of Securities Dealers, or other appropriate regulatory agency that Stockholder Consent is not required to issue shares of Common Stock in excess of the 19.9% Limit, or (3) the Company elects to list its shares on an electronic bulletin board or in such manner as would allow the Excess Preferred Shares (defined below) to be converted into Common Stock without Stockholder Consent, no purchaser of Series 7 Preferred Shares pursuant to the Purchase Agreements (the "Purchasers") shall be issued, upon conversion of Series 7 Preferred Shares, shares of Common Stock in an amount greater than the product of (i) the 19.9% Limit multiplied by (ii) a fraction, the numerator of which is the number of Series 7 Preferred Shares issued to such Purchaser pursuant to its respective Purchase Agreement and the denominator of which is the aggregate amount of all the Series 7 Preferred shares issued to the Purchasers pursuant to the Purchase Agreements (the "Cap Allocation Amount"). In the event that any Purchaser shall sell or otherwise transfer any of such Purchaser's Series 7 Preferred Shares, the transferee shall be allocated a pro rata portion of such Purchaser's Cap Allocation Amount. In the event that any holder of Series 7 Preferred Shares shall convert all of such holder's Series 7 Preferred Shares into a number of shares of Common Stock which, in the aggregate, is less than such holder's Cap Allocation Amount, then the difference between such holder's Cap Allocation Amount and the number of shares of Common Stock actually issued to such holder shall be allocated to the respective Cap Allocation Amounts of the remaining holders of Preferred Shares on a pro rata basis in proportion to the number of Preferred Shares then held by each such holder. In the event that any holder of Series 7 Preferred Shares attempts to convert such holder's Series 7 Preferred Shares into a number of shares of Common Stock which, in the aggregate, would be greater than such holder's Cap Allocation Amount, then the Series 7 Preferred Shares which would be convertible into a number of shares of Common Stock equal to difference between the number of shares of Common Stock issuable but for such holder's Cap Allocation Amount and such holder's Cap Allocation Amount, as adjusted by the previous sentence, (the "Excess Preferred Shares") sha...

Notwithstanding anything to the contrary contained in (i) the December 29, 1995 Subscription Agreement or the Options, the Convertible Preferred Stock or the Warrant issued pursuant thereto, (ii) the June 28, 1996 Subscription Agreement between Xxxx and Xxxxxxxx (a copy of which is attached hereto as Exhibit A) or the Series C Option, the Convertible Preferred Stock or the Warrant issuable pursuant thereto, or (iii) the Articles of Incorporation of Xxxx, as amended to the date hereof (the "Articles"), the maximum number of shares of Common Stock (or any other class of voting stock) that shall be issued to Xxxxxxxx pursuant to any of the foregoing, collectively, shall be 2,788,653 shares of Common Stock (which is equal 19.45% of the then outstanding Common Stock as of December 29, 1995) (the "Maximum Limit"); PROVIDED, HOWEVER, that for purposes of determining the number of shares of Common Stock (or any other class of voting stock) issued to Xxxxxxxx as of any date, the number of shares of Common Stock (or any other class of voting stock) issuable upon exercise of the Warrant issued to Xxxxxxxx pursuant to the December 29, 1995 Subscription Agreement and the Warrant issued to Xxxxxxxx pursuant to the June 28, 1996 Subscription Agreement shall be deemed to have been issued to Xxxxxxxx as of the date hereof.

  • Valid Issuance of Common Stock The Shares, when issued, sold and delivered in accordance with the terms hereof for the consideration expressed herein, will be duly and validly authorized and issued, fully paid and nonassessable and free of restrictions on transfer other than restrictions on transfer under this Agreement and applicable state and federal securities laws.

Notwithstanding the foregoing, the Company shall not be obligated to deliver any shares of Common Stock pursuant to the exercise of a Warrant and shall have no obligation to settle such Warrant exercise unless a registration statement under the Securities Act with respect to the shares of Common Stock underlying the Public Warrants is then effective and a prospectus relating thereto is current, subject to the Company’s satisfying its obligations under Section 7.4. No Warrant shall be exercisable and the Company shall not be obligated to issue shares of Common Stock upon exercise of a Warrant unless the Common Stock issuable upon such Warrant exercise have been registered, qualified or deemed to be exempt from registration or qualification under the securities laws of the state of residence of the Registered Holder of the Warrants. In the event that the conditions in the two immediately preceding sentences are not satisfied with respect to a Warrant, the holder of such Warrant shall not be entitled to exercise such Warrant and such Warrant may have no value and expire worthless, in which case the purchaser of a Unit containing such Public Warrants shall have paid the full purchase price for the Units solely for the shares of Common Stock underlying such Unit. In no event will the Company be required to net cash settle the Warrant exercise. Subject to Section 4.6 of this Agreement, a Registered Holder of Warrants may exercise its Warrants only for a whole number of Common Stock. The Company may require holders of Public Warrants to settle the Warrant on a “cashless basis” pursuant to Section 7.4. If, by reason of any exercise of Warrants on a “cashless basis”, the holder of any Warrant would be entitled, upon the exercise of such Warrant, to receive a fractional interest in a share of Common Stock, the Company shall round down to the nearest whole number, the number of shares of Common Stock to be issued to such holder.

  • Issuance of Additional Shares of Common Stock (i) In the event the Issuer shall at any time following the Original Issue Date issue any Additional Shares of Common Stock (otherwise than as provided in the foregoing subsections (a) through (c) of this Section 4), at a price per share less than the Warrant Price then in effect or without consideration, then the Warrant Price upon each such issuance shall be adjusted to that price determined by multiplying the Warrant Price then in effect by a fraction:
