LIMITATION ON ACTIVITIES. Notwithstanding any provision in this Agreement to the contrary, the Advisor shall not take any action which, in its sole judgment made in good faith, would (i) adversely affect the ability of the General Partner to qualify or continue to qualify to be taxed as a REIT, (ii) subject the Company or the General Partner to regulation under the Investment Company Act of 1940, as amended, (iii) violate any law, rule or regulation of any governmental body or agency having jurisdiction over the Company, the General Partner or their Securities, or (iv) violate the Articles of Incorporation or Bylaws. In the event that an action that would violate (i) through (iv) of the preceding sentence has been ordered by the Board of Directors acting on behalf of the General Partner, the Advisor shall notify the Board of Directors of the Advisor’s judgment of the potential impact of such action and shall refrain from taking such action until it receives further clarification or instructions from the Board of Directors. In such event the Advisor shall, to the fullest extent allowed by law, have no liability for acting in accordance with the specific instructions of the Board of Directors so given. Notwithstanding the foregoing, none of the Advisor, its Affiliates and none of their managers, directors, officers, employees and equityholders, shall be liable to the Company, the General Partner, the Board of Directors or the Shareholders for any act or omission by such Persons or individuals, except as provided in this Agreement. LIMITATION ON ACTIVITIES. Notwithstanding any provision in this Agreement to the contrary, the Advisor shall not take any action which, in its sole judgment made in good faith, would (i) adversely affect the ability of the REIT General Partner to qualify or continue to qualify to be taxed as a REIT, (ii) subject the Company or the General Partner to regulation under the Investment Company Act of 1940, as amended, (iii) violate any law, rule or regulation of any governmental body or agency having jurisdiction over the Company, the General Partner or their Securities, or (iv) violate the Articles of Incorporation Charter or Bylaws. In the event that an action that would violate (i) through (iv) of the preceding sentence but such action has been ordered by the Board of Directors acting on behalf of the General Partner, the Advisor shall notify the Board of Directors of the Advisor’s judgment of the potential impact of such action and shall refrain from taking such action until it receives further clarification or instructions from the Board of Directors. In such event event, the Advisor shall, to the fullest extent allowed by law, have no liability for acting in accordance with the specific instructions of the Board of Directors so given. Notwithstanding the foregoing, none of the Advisor, its Affiliates and none of their managers, directors, officers, employees and equityholders, shall be liable to the Company, the General Partner, the Board of Directors or the Shareholders Stockholders for any act or omission by such Persons or individuals, except as provided in this Agreement. LIMITATION ON ACTIVITIES. Notwithstanding (a) The Parent Guarantor will not, and will not permit any provision of its Restricted Subsidiaries to, engage in any business other than Related Businesses.
(b) The Company will not engage in any business activity or undertake any other activity, except any activity (i) reasonably relating to the offering, sale, issuance and servicing, purchase, redemption, refinancing or retirement of the Notes, or Indebtedness under the Super-Priority Subscription Agreement Documents, the incurrence of Indebtedness represented by the Notes, Indebtedness under the Super-Priority Subscription Agreement Documents or other Indebtedness permitted by the terms of this Facility Agreement and distributing, lending or otherwise advancing, whether directly or through an intermediary bank or institution, funds to Xxxx GAC (in the case of the Notes) or to the Parent Guarantor or any Restricted Subsidiary (in the case of the Super-Priority Subscription Agreement Documents or other Indebtedness), (ii) undertaken with the purpose of fulfilling any other obligations under the Notes or this Facility Agreement; and (iii) other activities required to consummate the Acquisition or any of the steps set forth in the Structure Memorandum and activities not specifically enumerated above that are de minimis in nature. The Company shall not create, incur, assume or suffer to exist any Lien over any of its property or assets, or any proceeds therefrom to secure Indebtedness, except for Liens to secure the Notes, the Super-Priority Subscription Agreement Documents or other Indebtedness permitted to be Incurred under this Facility Agreement to the contraryextent Liens securing such Indebtedness are permitted to be Incurred under this Facility Agreement. The Company shall at all times remain a Restricted Subsidiary, and shall at all times remain a wholly owned Subsidiary of Xxxx GAC or Target. The Company shall not merge, consolidate, amalgamate or otherwise combine with or into another Person or sell, transfer, lease or otherwise dispose of any material property or assets to any Person. For so long as any Notes are outstanding, the Advisor Company will not (i) change the Stated Maturity of the principal of, or any installment of interest on, the Intercompany Note Proceeds Bond; (ii) reduce the rate of interest on the Intercompany Note Proceeds Bond; (iii) change the currency for payment of any amount under the Intercompany Note Proceeds Bond; (iv) prepay or otherwise reduce or permit the prepayment or reduction of the Intercompany Note Proceeds Bond (save to facilitate a corresponding payment of principal on the Notes); (v) assign or novate the Intercompany Note Proceeds Bond; or (vi) amend, modify or alter the Intercompany Note Proceeds Bond. Notwithstanding the foregoing, the Intercompany Note Proceeds Bond may be prepaid or reduced to facilitate or otherwise accommodate or reflect a repayment, redemption or repurchase of outstanding Notes. For so long as any Notes are outstanding, none of the Parent Guarantor nor any of its Restricted Subsidiaries will commence or take any action or facilitate a winding-up, liquidation or other analogous proceeding in respect of the Company. For so long as any Notes are outstanding, the Company shall not take any action whichat any meeting in respect of the Intercompany Notes Proceeds Bonds issued by Xxxx GAC which may be adverse to the interests of the Holders of the Notes or have the effect of impairing the Collateral securing the Notes or the Intercompany Notes Proceeds Bonds.
(c) Xxxx III will not engage in any business activity or undertake any other activity, in its sole judgment made in good faith, would except any activity (i) adversely affect reasonably relating to the ability offering, sale, issuance and servicing, purchase, redemption, refinancing or retirement of the General Partner Senior Unsecured Notes or the incurrence of Indebtedness represented by the Senior Unsecured Notes or other Indebtedness permitted by the terms of the facility agreement relating to qualify the Senior Unsecured Notes or continue otherwise advancing, directly or through an intermediary bank or institution, funds to qualify to be taxed as a REITXxxx GAC, (ii) subject guaranteeing the Company Super-Priority Subscription Agreement Documents, the Notes or any other Indebtedness permitted by the General Partner to regulation under the Investment Company Act terms of 1940, as amendedthis Facility Agreement, (iii) violate undertaken with the purpose of fulfilling any law, rule other obligations under the Senior Unsecured Notes or regulation of any governmental body or agency having jurisdiction over the Company, facility agreement relating to the General Partner or their Securities, or Senior Unsecured Notes; and (iv) violate other activities required to consummate the Articles Acquisition or any of Incorporation the steps set forth in the Structure Memorandum and activities not specifically enumerated above that are de minimis in nature. Xxxx III shall not create, Incur, assume or Bylawssuffer to exist any Lien, any of its property or assets, or any proceeds therefrom, to secure Indebtedness, except for Liens to secure the Super-Priority Subscription Agreement Documents, the Notes, any guarantees with respect thereto or other Indebtedness permitted to be Incurred under the Facility Agreement and the facility agreement relating to the Senior Unsecured Notes to the extent Liens securing such Indebtedness are permitted to be Incurred under such agreements and for a Lien over any funding loan relating to the Senior Unsecured Notes (provided that such funding loan is also pledged to secure the Super-Priority Subscription Agreement Documents and the Notes and the Lien over such funding loan ranks junior to the Lien securing the Senior Credit Facility and the Notes). In the event that an action that would violate Xxxx III shall at all times remain a Restricted Subsidiary, and shall at all times remain a wholly owned Subsidiary of Xxxx GAC or Target. Xxxx III shall not merge, consolidate, amalgamate or otherwise combine with or into another Person or sell, transfer, lease or otherwise dispose of any material property or assets to any Person. For so long as any Notes are outstanding, Xxxx III will not (i) through change the Stated Maturity of the principal of, or any installment of interest on, the intercompany note proceeds bond related to the Senior Unsecured Notes; (ii) reduce the rate of interest on the intercompany note proceeds bond related to the Senior Unsecured Notes; (iii) change the currency for payment of any amount under the intercompany note proceeds bond related to the Senior Unsecured Notes; (iv) prepay or otherwise reduce or permit the prepayment or reduction of the preceding sentence has been ordered by the Board of Directors acting on behalf of the General Partner, the Advisor shall notify the Board of Directors of the Advisor’s judgment of the potential impact of such action and shall refrain from taking such action until it receives further clarification or instructions from the Board of Directors. In such event the Advisor shall, intercompany note proceeds bond related to the fullest extent allowed by lawSenior Unsecured Notes (save to facilitate a corresponding payment of principal on the Senior Unsecured Notes); (v) assign or novate the intercompany note proceeds bond related to the Senior Unsecured Notes; or (vi) amend, have no liability for acting in accordance with modify or alter the specific instructions of intercompany note proceeds bond related to the Board of Directors so givenSenior Unsecured Notes. Notwithstanding the foregoing, the intercompany note proceeds bond related to the Senior Unsecured Notes may be prepaid or reduced to facilitate or otherwise accommodate or reflect a repayment, redemption or repurchase of outstanding Senior Unsecured Notes to the extent permitted under this Facility Agreement and the facility agreement relating to the Senior Unsecured Notes. For so long as any Notes are outstanding, none of the AdvisorXxxx III nor any of its Restricted Subsidiaries will commence or take any action or facilitate a winding-up, its Affiliates and none liquidation or other analogous proceeding in respect of their managersXxxx III. For so long as any Notes are outstanding, directorsthe Parent Guarantor shall not take any action, officersor cause any action to be taken, employees and equityholders, shall at any meeting in respect of the Intercompany Note Proceeds Bond issued by Xxxx GAC which may be liable adverse to the Companyinterests of the Holders of the Notes or have the effect of impairing the Collateral securing the Notes or the Intercompany Note Proceeds Bond.
(d) Xxxx XX S.à x.x. will not engage in any business activity or undertake any other activity, except any activity (i) reasonably relating to receiving funds from the Parent Guarantor and advancing, directly or through an intermediary bank or institution, funds to Xxxx GAC, (ii) guaranteeing the Super-Priority Subscription Agreement Documents, the General PartnerNotes, the Board Senior Unsecured Notes and any other Indebtedness permitted by the terms of Directors this Facility Agreement, and (iii) other activities required to consummate the Acquisition or any of the Shareholders for steps set forth in the Structure Memorandum and activities not specifically enumerated above that are de minimis in nature. Xxxx XX S.à x.x. shall not create, Incur, assume or suffer to exist any act Lien over any of its property or omission by such Persons or individualsassets to secure Indebtedness, except as provided in for Liens to secure the Super-Priority Subscription Agreement Documents, the Notes, any guarantees with respect thereto or other Indebtedness permitted to be Incurred under this Facility Agreement to the extent Liens securing such Indebtedness are permitted to be incurred under this Agreement. THE PARTIES HERETO INTEND THAT THE LIMITATION OF LIABILITY SET FORTH IN THIS SECTION BE CONSTRUED AND APPLIED AS WRITTEN NOTWITHSTANDING ANY RULE OF CONSTRUCTION TO THE CONTRARYXxxx XX S.à x.x.
