Common use of Limitations on License Clause in Contracts

Limitations on License. except as expressly set forth in this AGREEMENT, no rights are granted to VENDOR to do any of the following: (a) use, display, access, distribute, transfer, alter, or modify the listings or data compiled by the SERVICE, or otherwise create any derivative works of the listings or data compiled by the SERVICE, (b) download, distribute, export, deliver, or transmit any of the listings or data compiled by the SERVICE, including to any computer or other electronic device, except as permitted under this AGREEMENT, or (c) sell, grant access to, or sublicense the listings or data compiled by the SERVICE, to any third party. VENDOR agrees to take all reasonable steps necessary to protect the listings or data compiled by the SERVICE from unauthorized access, distribution, copying or use.
