The provisions of this Agreement are solely for the benefit of the Owner Trustee, the Depositor, the CertificateholderCertificateholders, the Servicer Administrator, and, to the extent expressly provided hereinin this Agreement, the Indenture Trustee, the Trust Collateral Agent Credit Enhancer and the Noteholders, and nothing in this Agreement, whether express or implied, shall be construed to give to any other Person person any legal or equitable right, remedy or claim interest in the Owner Trust Estate Assets or under or in respect of this Agreement or any covenants, conditions or provisions contained hereinAgreement.

Limitations on Rights of Others. The Except for Section 2.07, the provisions of this Agreement are solely for the benefit of the Owner Trustee, the Depositor, the Certificateholder, the Servicer and, to the extent expressly provided herein, the TrusteeTransferor, the Trust Collateral Agent Certificateholders, the Administrator, the Servicer, the Indenture Trustee and the Noteholders, and nothing in this AgreementAgreement (other than Section 2.07), whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

The provisions of this Agreement are solely for the benefit of the Depositor, the Servicer, the Seller, the Issuer, the Owner Trustee, the DepositorCertificateholders, the Certificateholder, the Servicer and, to the extent expressly provided herein, the Trustee, the Trust Collateral Agent Indenture Trustee and the Noteholders, and nothing in this Agreement, whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

The provisions of this Agreement are solely for the benefit of the Owner Trustee, the Depositor, the CertificateholderCertificateholders, the Servicer Administrator and, to the extent expressly provided herein, the Indenture Trustee, the Trust Collateral Agent Asset Representations Reviewer and the Noteholders, and nothing in this Agreement, whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

The provisions of this Agreement are solely for the benefit of the Owner TrusteeSeller, the Servicer, the Depositor, the CertificateholderIssuer, the Servicer and, to the extent expressly provided herein, the Owner Trustee, the Trust Collateral Agent Indenture Trustee and the NoteholdersNoteholders and their successor and assigns, and nothing in this Agreement, whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in the Owner Trust Estate Collateral or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

Limitations on Rights of Others. The provisions of this Agreement are solely for the benefit of Seller, Servicer, Issuer, Owner Trustee and for the Owner Trustee, benefit of the Depositor, the Certificateholder, the Servicer and, to the extent expressly provided herein, the Trustee, the Trust Collateral Agent Certificateholders and the Noteholders, as third-party beneficiaries, and nothing in this Agreement, whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

Limitations on Rights of Others. The provisions of this Agreement are solely for the benefit of the Owner Trustee, the Depositor, the Servicer, the Issuer, the Indenture Trustee and the Eligible Lender Trustee and for the benefit of the Excess Distribution Certificateholder, the Servicer andNoteholders and each Swap Counterparty, to the extent expressly provided herein, the Trustee, the Trust Collateral Agent and the Noteholdersas third party beneficiaries, and nothing in this Agreement, whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

The provisions of this Agreement are solely for the benefit of the Owner Trustee, the Depositor, the CertificateholderCertificateholders, the Servicer Administrator, and, to the extent expressly provided hereinin this Trust Agreement, the Indenture Trustee, the Trust Collateral Agent Credit Enhancer and the Noteholders, and nothing in this Trust Agreement, whether express or implied, shall be construed to give to any other Person person any legal or equitable right, remedy or claim interest in the Owner Trust Estate Assets or under or in respect of this Agreement or any covenants, conditions or provisions contained hereinTrust Agreement.

The provisions of this Agreement are solely for the benefit of the Owner Trustee, the Depositor, the CertificateholderServicer, the Servicer and, to the extent expressly provided hereinIssuer, the Trustee, Indenture Trustee and the Trust Collateral Agent Trustee and for the benefit of the Certificateholders and the Noteholders, as third party beneficiaries, and nothing in this Agreement, whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

Limitations on Rights of Others. The provisions of this Agreement are solely for the benefit of the Owner TrusteeDepositors, the Depositor, the Certificateholder, the Servicer and, to the extent expressly provided hereinServicer, the Trustee, the Trust Collateral Agent Certificateholders and the Noteholders, Originators and nothing in this Agreement, Agreement whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in the Owner assets of the Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein. The Certificate Insurer is an intended third party beneficiary of this Agreement.

Limitations on Rights of Others. The provisions of this Agreement are solely for the benefit of the Owner Trustee, the Depositor, the CertificateholderTrust Certificateholders, the Servicer and, to the extent expressly provided hereinAdministrative Agent, the TrusteeServicer, the Trust Collateral Agent Indenture Trustee and the Noteholders, and nothing in this Agreement, whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

Nothing in this Agreement, whether express or implied, shall be construed to give to any other Person Person, other than express third-party beneficiaries, any legal or equitable right, remedy or claim in the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

The provisions of this Agreement are solely for the benefit of the Owner Trustee, the Depositor, the CertificateholderOwners, the Servicer Administrator and, to the extent expressly provided herein, the Indenture Trustee, the Trust Collateral Agent Certificate Registrar and the Noteholders, and nothing in this Agreement, whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

The Except for Section 11.7, the provisions of this Agreement are solely for the benefit of the Owner Trustee, the DepositorSponsor, the CertificateholderCertificateholders, the Master Servicer and, to the extent expressly provided herein, the TrusteeInsurer, the Trust Collateral Agent Indenture Trustee and the Noteholders, and nothing in this Agreement, whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

The provisions of this Agreement are solely for the benefit of the Owner Trustee, the Depositor, the CertificateholderCertificateholders, the Servicer Administrator and, to the extent expressly provided herein, the Indenture Trustee, the Trust Collateral Agent Counterparties and the Noteholders, and nothing in this Agreement, whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

The provisions of this Agreement are solely for the benefit of the Company (and any assignee of the Company pursuant to Section 10.04), the Servicer, the Issuer, the Owner Trustee, the DepositorCertificateholders, the Certificateholder, the Servicer and, to the extent expressly provided herein, the Trustee, the Trust Collateral Agent Indenture Trustee and the Noteholders, and nothing in this Agreement, whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

The provisions of this Agreement are solely for the benefit of the Owner Trustee, the Depositor, the CertificateholderCertificateholders, the Master Servicer and, to the extent expressly provided herein, the Trusteeany Series Support Provider, the Trust Collateral Agent Trustee and the Noteholders, and nothing in this Agreement, whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

The provisions of this Agreement are solely for the benefit of the Owner Trustee, the DepositorSeller, the CertificateholderTrust, the Servicer Insurer, the Transferor, the Depositor and, to the extent expressly provided herein, the Trustee, the Trust Collateral Agent Indenture Trustee and the Noteholders, and nothing in this Agreement, whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

The provisions of this Agreement are solely for the benefit of the Owner Trustee, the Sponsor, the Depositor, the Certificateholder, the Servicer Certificateholders and, to the extent expressly provided herein, the Indenture Trustee, the Trust Collateral Agent Swap Provider and the Noteholders, and nothing in this Agreement, whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

Limitations on Rights of Others. The provisions of this Agreement are solely for the benefit of the Owner Trustee, the DepositorTransferor, the CertificateholderBeneficiary, the Servicer Administrator and, to the extent expressly provided herein, the Trustee, the Trust Collateral Agent Indenture Trustee and the Noteholders, and nothing in this Agreement, whether express or implied, shall will be construed to give to any other Person any legal or equitable right, remedy or claim in the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

The provisions of this Agreement are solely for the benefit of the Owner Trustee, the Depositor, the CertificateholderCompany, the Servicer Owners, the Administrator, the Paying Agent, the Securities Insurer and, to the extent expressly provided herein, the Trustee, the Trust Collateral Agent Indenture Trustee and the Noteholders, and nothing in this Agreement, whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

The provisions of this Agreement are solely for the benefit of the Owner Trustee, the DepositorTransferor, the Certificateholder, the Servicer holder of any Certificate and, to the extent expressly provided herein, the Trustee, the Trust Collateral Agent Indenture Trustee and the Noteholders, and nothing in this Agreement, whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

The provisions of this Agreement are solely for the benefit of the Owner Trustee, the Depositor, the CertificateholderServicer, the Servicer and, to the extent expressly provided hereinIssuer, the TrusteeIndenture Trustee and the Eligible Lender Trustee and for the benefit of the Excess Distribution Certificateholders, the Trust Collateral Agent Noteholders and the Noteholderseach Swap Counterparty, as third party beneficiaries, and nothing in this Agreement, whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

The provisions of this Agreement are solely for the benefit of the Owner Trustee, the Depositor, the CertificateholderServicer, the Servicer and, to the extent expressly provided hereinIssuer, the Trustee, Indenture Trustee and the Trust Collateral Agent Trustee and for the benefit of the Excess Distribution Certificateholder and the Noteholders, as third party beneficiaries, and nothing in this Agreement, whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

The provisions of this Agreement are solely for the benefit of the Owner TrusteeSeller, the DepositorServicer, the Certificateholder, the Servicer and, to the extent expressly provided hereinIssuing Entity, the Trustee, the Trust Collateral Agent Certificateholders, the Indenture Trustee, each Counterparty and the Noteholders, and nothing in this Agreement, whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

The Except for Section 2.7 and Section 9.12, the provisions of this Agreement are solely for the benefit of the Owner Trustee, the DepositorSeller, the CertificateholderCertificateholders, the Servicer Administrator and, to the extent expressly provided herein, the Trustee, the Trust Collateral Agent Indenture Trustee and the Noteholders, and nothing in this Agreement, whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

The provisions of this Agreement are solely for the benefit of the Owner Trustee, the DepositorSponsor, the CertificateholderSeller, the Servicer Certificateholders, the Note Insurer and, to the extent expressly provided herein, the Trustee, the Trust Collateral Agent Indenture Trustee and the Noteholders, and nothing in this Agreement, whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

The Subject to Sections 10.07 and 10.14, the provisions of this Agreement are solely for the benefit of the Owner Trustee, the Depositor, the Certificateholder, the Servicer Certificateholders and, to the extent expressly provided herein, the Trustee, the Trust Collateral Agent Indenture Trustee and the Noteholders, and nothing in this Agreement, whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in or to the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

Limitations on Rights of Others. The Except for Section 2.7, the provisions of this Agreement are solely for the benefit of the Owner Trustee, the DepositorSeller, the CertificateholderCertificateholders, the Master Servicer and, to the extent expressly provided herein, the Trustee, the Trust Collateral Agent Trustee and the Noteholders, and nothing in this Agreement, whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

Limitations on Rights of Others. The provisions of this Agreement are solely for the benefit of the Owner Trustee, the Trust Depositor, the CertificateholderOwners, the Servicer Administrator and, to the extent expressly provided herein, the Indenture Trustee[, the Trust Collateral Agent Swap Counterparty] and the Noteholders, and nothing in this Agreement, whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

Limitations on Rights of Others. The provisions of this Agreement are solely for the benefit of the Seller, the Servicer, the Issuer, the Owner Trustee, the Depositor, the Certificateholder, the Servicer and, to the extent expressly provided herein, the Trustee, the Trust Collateral Agent Indenture Trustee and the Noteholders, Noteholders and nothing in this Agreement, whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

The provisions of this Agreement are solely for the benefit of the Owner Trustee, the Depositor, the CertificateholderTrust Certificateholders, the Servicer and, to the extent expressly provided hereinAdministrative Agent, the TrusteeServicer, the Trust Collateral Agent Indenture Trustee[, the [Swap Counterparty[ [Cap Provider]] and the Noteholders, and nothing in this Agreement, whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

The provisions of this Agreement are solely for the benefit of the Owner TrusteeSeller, the DepositorServicer, the CertificateholderBackup Servicer, the Servicer and, to the extent expressly provided hereinIssuing Entity, the Trustee, the Trust Collateral Agent Certificateholders, the Indenture Trustee and the Noteholders, and nothing in this Agreement, whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

The provisions of this Agreement are solely for the benefit of the Owner Trustee, the Depositor, the CertificateholderCertificateholders, the Servicer and, to the extent expressly provided hereinand any Support Provider, the Indenture Trustee, the Trust Collateral Agent Administrator and the Noteholders, and nothing in this Agreement, whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.

The provisions of this Agreement are solely for the benefit of the Owner Trustee, the DepositorSeller, the CertificateholderOwner, the Servicer Administrator and, to the extent expressly provided herein, the Trustee, the Trust Collateral Agent Indenture Trustee and the Noteholders, and nothing in this Agreement, whether express or implied, shall be construed to give to any other Person any legal or equitable right, remedy or claim in the Owner Trust Estate or under or in respect of this Agreement or any covenants, conditions or provisions contained herein.
