Limited Warranty for Goods. Seller warrants to Buyer that for a period of twelve months from the date of delivery of the Goods, including deemed delivery pursuant to sections 3.4 and 10.3 above (the "Warranty Period"), that the Goods manufactured by Seller, when properly installed and maintained, and operated at ratings, specifications and design conditions specified by Seller, will materially conform to Seller’s specifications for such Goods set forth in Seller’s proposal, or, in the absence of such a proposal, such specifications as have been provided by Buyer to Seller and accepted in writing by Seller and included in the Sales Confirmation, at the time of the order and will be free from material defects in material and workmanship (this “Limited Warranty”). Buyer shall provide Seller with a copy of the original invoice for the product or service, and prepay all freight charges to return any Goods to Seller's factory, or other facility designated by Seller. All claims must be accompanied by full particulars, including system operating conditions, if applicable. If the defects are of such type and nature as to be covered by this Limited Warranty, Seller shall, at its option and in its sole discretion, either: (a) accept return of the defective Goods and furnish replacement Goods; (b) furnish replacement parts for the defective Goods; (c) repair the defective Goods; or (d) accept return of the defective Goods and return payments made, or issue credits for, such defective Goods. If Seller determines that any warranty claim is not, in fact, covered by this Limited Warranty, Buyer shall pay Seller its then customary charges for any additionally required service or products.

Seller Pall warrants to Buyer KindredBio that for a period of twelve (12) months from the date of delivery of the Goods, including deemed delivery pursuant to sections 3.4 and 10.3 above [* * *] (the "“Warranty Period"”), that the Goods manufactured by SellerGoods, when properly installed and installed, maintained, and operated at ratings, specifications and design conditions specified by SellerPall, will materially conform to SellerPall’s specifications Specifications for such Goods set forth in Seller’s proposalthe applicable Quote, if any, or, in the absence of such a proposalQuote, such specifications as have been provided by Buyer to Seller for such Goods appearing in Pall’s product catalogues and accepted in writing by Seller and included literature or in the Sales Confirmation, at the time of the order and applicable Purchase Order, will be free from material defects in material and workmanship workmanship, and will have been produced in compliance with all applicable laws (this “Limited WarrantyWarranty for Goods”). Buyer KindredBio shall notify Seller Pall promptly in writing of any claims within the Warranty Period and provide Seller Pall with an opportunity to inspect and test the Goods or service claimed to fail to meet this Limited WarrantyWarranty for Goods. Buyer KindredBio shall provide Seller Pall with a copy of the original invoice for the product or service, and prepay Goods. Pall shall be responsible at its expense for all freight charges to return any Goods to Seller's Pall’s factory, or other facility designated by SellerPall. All claims must be accompanied by full particulars, including system operating conditions, if applicable. If the defects are of such type and nature as to be covered by this Limited WarrantyWarranty for Goods, Seller Pall shall, at its Pall’s option and in its sole discretion, either: (a) accept return of the defective Goods and furnish replacement Goods; (b) furnish replacement parts for the defective Goods; (c) repair the defective Goods; or (d) accept return of the defective Goods and return payments made, or issue credits forcredits, for such defective Goods, in which case, KindredBio shall be credited with the Purchase Price of the Goods when calculating the Minimum Consumable Commitment. If Seller Pall determines that any warranty claim is not, in fact, covered by this Limited WarrantyWarranty for Goods, Buyer KindredBio shall pay Seller Pall its then customary charges for any additionally required service Service or products.

Buyer shall notify Seller promptly in writing of any claims within the Warranty Period and provide Seller with an opportunity to inspect and test the Goods or service claimed to fail to meet this Limited Warranty. Pembeli akan segera memberi tahu Penjual secara tertulis tentang klaim dalam Periode Jaminan xxx memberikan kesempatan bagi Penjual untuk menginspeksi xxx menguji Barang atau layanan yang diklaim gagal memenuhi Jaminan Terbatas ini.
