Location of Collateral, etc. All of the lock boxes, Equipment and Inventory of the Grantor are respectively located at the places specified in Section 3 of the Perfection Certificate delivered by the Grantor. None of the Equipment and Inventory has, within the four months preceding the date of this Security and Pledge Agreement (if then owned by the Grantor), been located at any place other than the places specified in Section 3 of the Perfection Certificate delivered by the Grantor. The place of business and chief executive office of the Grantor and the office where the Grantor keeps its records concerning the Receivables, and all originals of all chattel paper which evidence Receivables is ________. The Grantor has no trade names. During the four months preceding the date hereof, the Grantor has not been known by any legal name nor has it had a federal taxpayer identification number different from the ones set forth in Section 1(a) and 2(a), respectively, of the Perfection Certificate delivered by the Grantor, nor has the Grantor been the subject of any merger or other corporate reorganization, except as disclosed pursuant to Section 1(c) of the Perfection Certificate delivered by the Grantor. All Receivables evidenced by a promissory note or other instrument, negotiable document or chattel paper have been duly endorsed and accompanied by duly executed instruments of transfer or assignment, all in form and substance satisfactory to the Administrative Agent and delivered and pledged to the Administrative Agent pursuant to Section 4.10. If the Grantor is a party to any Federal, state or local government contract, the Grantor shall duly comply with the terms of the Federal Assignment of Claims Act, to the extent required herein to perfect the first priority security interest in favor of the Administrative Agent.

The place place(s) of business and chief executive office of the such Grantor and the office office(s) where the such Grantor keeps its records concerning the Receivables, and all originals of all chattel paper which evidence Receivables is ________Receivables, are located at the address set forth in ITEM D of SCHEDULE I hereto. The Such Grantor has no material trade namesnames other than those set forth in ITEM E of SCHEDULE I hereto. During the four months preceding the date hereof, the such Grantor has not been known by any legal name nor has it had a federal taxpayer identification number different from the ones one set forth in Section 1(a) and 2(a), respectively, of on the Perfection Certificate delivered by the Grantorsignature page hereto, nor has the such Grantor been the subject of any merger or other corporate reorganization, except as disclosed pursuant to set forth in ITEM F of SCHEDULE I hereto. If the Collateral includes any Inventory located in the State of California, such Grantor is not a "retail merchant" within the meaning of Section 1(c) 9102 of the Perfection Certificate delivered by Uniform Commercial Code - Secured Transactions of the GrantorState of California. All Receivables evidenced by a promissory note or other instrument, negotiable document or chattel paper have been duly endorsed and accompanied by duly executed instruments of transfer or assignment, all in form and substance satisfactory to the Administrative Facility Agent and delivered and pledged to the Administrative Facility Agent pursuant to Section 4.10. If the Grantor is a party to any Federal, state or local government contract, the Grantor shall duly comply with the terms of the Federal Assignment of Claims Act, to the extent required herein to perfect the first priority security interest in favor of the Administrative AgentSECTION 4.

None of the Equipment and Inventory has, within the four months preceding the date of this Security and Pledge Agreement (if then owned by the such Grantor), been located at any place other than the places specified in Section 3 Sections 3(e) and (g), respectively, of the Perfection Certificate delivered by the such Grantor. The place place(s) of business and chief executive office of the such Grantor and the office office(s) where the such Grantor keeps its records concerning the Receivables, and all originals of all chattel paper which evidence Receivables is ________Receivables, are respectively located at the addresses set forth in Sections 3(d), (a) and (b) of the Perfection Certificate delivered by such Grantor. The Such Grantor has no trade namesnames other than those set forth in Section 1(d) of the Perfection Certificate delivered by such Grantor. During the four months preceding the date hereof, the such Grantor has not been known by any legal name nor has it had a federal taxpayer identification number different from the ones set forth in Section 1(a) (except that Holdings was formerly known as EAC II Inc.) and 2(a), respectively, of the Perfection Certificate delivered by the such Grantor, nor has the such Grantor been the subject of any merger or other corporate reorganization, except as disclosed pursuant to Section 1(c) of the Perfection Certificate delivered by such Grantor. If the GrantorCollateral includes any Inventory located in the State of California, such Grantor is not a "retail merchant" within the meaning of Section 9102 of the Uniform Commercial Code - Secured Transactions of the State of California. All Receivables evidenced by a promissory note or other instrument, negotiable document or chattel paper have been duly endorsed and accompanied by duly executed instruments of transfer or assignment, all in form and substance satisfactory to the Administrative Agent and delivered and pledged to the Administrative Agent pursuant to Section SECTION 4.10. If the Such Grantor is not a party to any Federal, state or local government contract, the Grantor shall duly comply with the terms of the Federal Assignment of Claims Act, to the extent required herein to perfect the first priority security interest contract except as set forth in favor of the Administrative AgentSCHEDULE II hereto.
