Location of Office; Name. (a) Such Pledgor shall not, without 30 days’ prior written notice to Secured Party, change its principal place of business, chief executive office or the office where it keeps its records concerning its Pledged Collateral from the address specified on Schedule 1 hereto, and in connection with any such change it shall deliver to Secured Party an opinion of counsel addressed to Secured Party setting forth any actions required to be taken with respect to the filing, recording, refiling and re-recording of this Agreement or financing statements or continuation statements with respect thereto, if any, as are necessary to maintain and preserve the perfection of the security interest of Secured Party in and to the Pledged Collateral granted hereunder and such Pledgor or its counsel shall have taken all such actions specified in such opinion. (b) Such Pledgor shall not change its legal name unless it has (A) given to Secured Party at least 30 days’ prior written notice of its intention to do so, clearly stating its new name and the jurisdictions in which its new name shall be used, (B) provided to Secured Party such other information in connection therewith as Secured Party may reasonably request, (C) taken all action reasonably satisfactory to Secured Party to maintain the security interest of Secured Party in the Pledged Collateral intended to be granted hereby at all times fully perfected and in full force and effect and (D) delivered to Secured Party an opinion of counsel addressed to Secured Party setting forth all actions required to be taken with respect to the filing, recording, refiling and re-recording of this Agreement, or financing statements, continuation statements or other applicable statements in the relevant jurisdiction with respect thereto, if any, as are necessary to maintain and preserve the perfection of the security interest of Secured Party in and to the Pledged Collateral granted hereunder and either such Pledgor or its counsel shall have taken all of such actions specified in such opinion.

Location of Office; Name. The Pledgor shall keep its principal place of business, where it keeps its records concerning the Collateral, at its address specified on the signature page hereof; or, upon 30 days’ prior written notice to the Collateral Agent, at such other location in a jurisdiction where all action required by Section 6 shall have been taken with respect to the Collateral. Without at least 30 days’ prior written notice to the Collateral Agent, the Pledgor shall not change its name from or its jurisdiction of organization from the name or jurisdiction, respectively, set forth in Annex 2.

  • Location of Offices The Borrower’s jurisdiction of organization, principal place of business and chief executive office and the office where the Borrower keeps all the Records is located at the address of the Borrower referred to in Section 12.2 hereof (or at such other locations as to which the notice and other requirements specified in Section 5.1(m) shall have been satisfied).

  • Location of Office The Company shall make available to Executive an office and support services at the Company’s headquarters in Dallas/Plano, Texas area. Executive’s main office shall be at such location.

  • Executive Office; Maintenance of Offices The Seller shall give Ally Auto written notice within ten (10) days of any relocation of its principal executive office if, as a result of such relocation, the applicable provisions of the UCC would require the filing of any amendment of any previously filed financing or continuation statement or of any new financing statement. The Seller shall at all times maintain each office from which it originates Receivables and its principal executive office within the United States of America.

  • Term of Office of Trustees The Board of Trustees shall be divided into three classes. Within the limits above specified, the number of the Trustees in each class and the class which each Trustee is assigned shall be determined by resolution of the Board of Trustees. The term of office of the first class shall expire on the date of the first annual meeting of Shareholders or special meeting in lieu thereof following the effective date of the Registration Statement. The Trustees shall be elected at an annual meeting of the Shareholders or special meeting in lieu thereof called for that purpose, except as provided in Section 2.3 of this Article and each Trustee elected shall hold office until his successor shall have been elected and shall have qualified; except (a) that any Trustee may resign his trust (without need for prior or subsequent accounting) by an instrument in writing signed by him and delivered to the other Trustees, which shall take effect upon such delivery or upon such later date as is specified therein; (b) that any Trustee may be removed (provided the aggregate number of Trustees after such removal shall not be less than the number required by Section 2.2 hereof) for cause, at any time by written instrument, signed by the remaining Trustees, specifying the date when such removal shall become effective; and (c) that any Trustee who requests in writing to be retired or who has become incapacitated by illness or injury may be retired by written instrument signed by a majority of the other Trustees, and he shall execute and deliver such documents as the remaining Trustees shall require for the purpose of conveying to the Fund or the remaining Trustees any Fund property held in the name of the resigning or removed Trustee. Upon the incapacity or death of any Trustee, his legal representative shall execute and deliver on his behalf such document as the remaining Trustees shall require as provided in the preceding sentence.
