Locations of Inventory. The Inventory included in the Borrowing Base is (a) not stored with a bailee, warehouseman, or similar party unless a Collateral Access Agreement has been executed by such party and delivered to Agent, and (b) located only at, or in-transit between or to, the locations identified on Schedule 4.30 (as such Schedule may be updated pursuant to Section 5.15).
Locations of Inventory. Except as scheduled or listed on the most recent Collateral Report, such Grantor will not (i) maintain any Inventory owned by it at any location in the United States other than those locations listed on Schedule 2B to the Perfection Certificate (other than (A) retail operating store locations, (B) any Inventory in transit with a common carrier, (C) any third party warehouse locations where any Inventory is held for not more than 60 days pending delivery to a store upon the initial opening thereof (including the initial opening after the renovation or remodeling of a store), (D) any location if the aggregate fair value of the Inventory maintained at such location does not exceed $1,000,000 or (E) any other location in the continental United States of which such Grantor shall have notified the Administrative Agent in writing where such Inventory is located in any third party warehouse or in the possession of a bailee (other than a third party processor), as such Schedule 2B to the Perfection Certificate shall be updated by the Company and delivered to the Administrative Agent not less often than annually, or (ii) change its principal place of business or chief executive office from the location identified on Schedule 2A to the Perfection Certificate, in each case other than as permitted by the Amended and Restated Credit Agreement. For any location in the continental United States where Inventory of a Grantor is located in any third party warehouse (other than a location described in clause (C) or (D) above), such Grantor shall have notified the Administrative Agent in writing thereof and, if requested by the Administrative Agent, shall use commercially reasonable efforts to deliver to the Administrative Agent a Collateral Access Agreement duly executed and delivered by such warehouseman.
Locations of Inventory. Equipment and Books and Records. On the date hereof, such Grantor's inventory and equipment (other than inventory or equipment in transit) and books and records concerning the Collateral are kept at the locations listed on Schedule 4 and such Schedule 4 also lists the locations of such inventory, equipment and books and records for the five years preceding the date hereof.
Locations of Inventory. The Inventory of the Loan Parties and their Subsidiaries is not stored with a bailee, warehouseman, or similar party and is located only at, or in-transit between, the locations identified on Schedule 4.27 (as such Schedule may be updated pursuant to Section 5.14); provided, , that Inventory of the Loan Parties and their Subsidiaries may be stored with the bailees and warehouseman that are identified by name and address of location on Schedule 4.27.
Locations of Inventory. The Inventory of the Secured Loan Parties constituting Collateral is not stored with a bailee, warehouseman, or similar party and is located only at, or in-transit between or to, the locations identified on Schedule 4.28 to the Disclosure Letter (as such Schedule may be updated pursuant to Section 5.15), except (a) in the case of Inventory rejected by a customer, at a place where such Inventory was delivered to, or relocated by, such customer, or (b) Inventory in transit to customers on an f.o.b. destination basis or to locations where such Inventory is anticipated to be sold or loaded for shipment to customers and the destination of such in transit Inventory is in the United States or Canada.

Locations of Inventory. Locations of Inventory. As of the Closing Date, all Eligible Inventory of Grantors, other than in-transit inventory and inventory having an aggregate value of less than $1,000,000, is located at the distribution centers, the owned real estate locations or the leased real estate locations listed in Sections I.C., I.D. and I.E. of the Information Certificate.
Locations of Inventory. All of the Inventory existing on the date of the Agreement is located at the places specified in Schedule A. The Borrower will immediately notify the Bank of any additional state in which any item of Inventory is hereafter located.
