Common use of Long Term Performance Award Clause in Contracts

Long Term Performance Award. (a) Subject to the terms and conditions of this Agreement, the Participant is hereby awarded a Performance-Based Award under Section 14 of the Plan, which shall entitle the Participant to a payment in cash to the extent that the Company attains specified Performance Goals established by the Committee. The Performance Goals and the Performance Cycle to which they relate are set forth in Exhibit A to this Agreement, which is hereby incorporated herein by reference. The Long-Term Performance Award is subject to forfeiture as more particularly described in Section 2 of this Agreement.

The Performance Goals Period, payment computation formula and the Performance Cycle to which they relate are other factors set forth in Exhibit A to this Agreement, Agreement which is hereby incorporated herein by reference. The Long-Term Performance Award is subject to forfeiture as more particularly described in Section 2 of this Agreement.
