Loss of Subsidiary Status Sample Clauses

Loss of Subsidiary Status. If, during or prior to the Policy Period, any entity ceases to be a Subsidiary, then coverage will be available under the Insuring Agreements for such Subsidiary and its Insured Persons, but only for a Wrongful Act of such Insureds occurring before such transaction. No coverage will be available for any Wrongful Act of such Insureds occurring after such transaction.

Loss of Subsidiary Status. If, during or prior to the Policy Period, any Entity ceases to be a Subsidiary, then coverage will be available under this Policy for such former Subsidiary and its Insured Person(s), subject to all other terms, conditions and limitations of this Policy, but only for (i) Claims (other than Inquiries) for Wrongful Acts occurring or allegedly occurring during the time that such entity was a Subsidiary, and (ii) Inquiries based upon or arising out of matters or circumstances occurring or allegedly occurring during the time that such entity was a Subsidiary.
