MAE. T. shall immediately forward a copy of the job order to the Council, as information. The Council shall inform the applicable Local Unions.
MAE. As of each Bringdown Date, to its knowledge, no event or circumstance has or will have occurred which constitutes, or could reasonably be expected to constitute, an MAE.
MAE. No event or circumstance has occurred and is continuing that has resulted in or would reasonably be expected to result in a Material Adverse Effect as to the Project.
MAE. From the date of this Agreement through the Closing Date, there shall not have occurred a Material Adverse Effect;
MAE. Since the date of this Agreement, no Material Adverse Effect shall have occurred.
MAE. Between the date of this Subscription Agreement and the Closing (including, for the avoidance of doubt, on the Closing Date), there has not occurred any Issuer Material Adverse Effect (as defined in this Subscription Agreement), any Company Material Adverse Effect (as defined in the Business Combination Agreement) or any Ackrell Material Adverse effect.
MAE. In the opinion of the Lender, acting reasonably, an MAE shall have occurred and be continuing.
MAE. There shall not have been any Company Material Adverse Effect since the date hereof.
MAE. A Material Adverse Effect shall not have occurred.
