Common use of Maintenance and Repairs by Lessee Clause in Contracts

Maintenance and Repairs by Lessee. Lessee shall not allow the Premises to fall out of repair or deteriorate, and, at Lessee’s own expense, Lessee shall keep and maintain the Premises, in good order and repair, except portions of the Premises to be repaired by Lessor under terms of Paragraph 7 below, and keep the Premises free and clear of trash and debris and in a clean and sanitary condition, free from pests and rodents. In the event Lessee fails to make said repairs, upon not less than twenty (20) days written notice, Lessor may, but shall not be obligated to, make such repairs, in which event, Lessee shall promptly reimburse Lessor, as additional rent, for all expenses incurred thereby. Lessee also agrees to keep all systems pertaining to water, fire protection, drainage, sewer, electrical, heating, ventilation, air conditioning and lighting in good order and repair, and shall maintain at all times a maintenance contract for the heating, ventilation and air conditioning equipment with an HVAC contractor approved by Lessor. Said maintenance contract shall provide for regular inspection and filter changes. Lessee covenants and agrees that during the term of this Lease and for such further time as Lessee, or any person claiming under it, shall hold the Premises or any part thereof, it shall not cause the estate of Lessor in the Premises to become subject to any lien, charge or encumbrance whatsoever, it being agreed that Lessee shall have no authority, express or implied, to create any lien, charge or encumbrance upon the estate of Lessor in the Premises.

Lessee shall maintain at all times a maintenance contract for the heating, ventilation and air conditioning ("HVAC") equipment with an a licensed HVAC contractor approved by Lessorcontractor. Said maintenance contract shall provide for regular inspection and filter changeschanges not less than every 60 days. The Lessee covenants and agrees that during the term of this Lease and for such further time as Lessee, or any person claiming under it, shall hold the Premises or any part thereof, it shall not cause the estate of the Lessor in the said Premises to become subject to any lien, charge or encumbrance whatsoever, it being agreed that the Lessee shall have no authority, express or implied, to create any lien, charge or encumbrance upon the estate of the Lessor in the Premises.

Lessee covenants and agrees that during the term of this Lease and for such further time as Lessee, or any person claiming under it, shall hold the Premises or any part thereof, it shall not cause the estate of Lessor in the Premises to become subject to any lien, charge or encumbrance whatsoever, it being agreed that Lessee shall have no authority, express or implied, to create any lien, charge or encumbrance upon the estate of Lessor in the Premises.

Maintenance and Repairs by Lessee. Lessee accepts the Premises in --------------------------------- "as is, where is" condition without representation or warranty of any kind whatsoever, including, without limitation, any warranty of habitability or of fitness for an intended purpose, except with respect to electrical, plumbing, HVAC and other systems and equipment located in or on the Premises which systems and equipment shall be in working order as of the Date of this Lease and for a thirty (30) day period thereafter. Lessor shall not allow have any responsibility for maintenance or repairs of such systems and equipment following the Premises to fall out expiration of repair or deteriorate, and, at Lessee’s own expensesuch thirty (30) day period. From and after the expiration of thirty (30) days following the Date of this Lease, Lessee shall at its own expense keep the Premises, including, without limitation, all electrical, plumbing, HVAC and maintain other systems and equipment located in or on the Premises, in good order repair and tenantable condition and indemnify Lessor against any loss, damage, or expense arising by reason of any failure of Lessee so to keep the Premises in good repair, except maintenance and tenantable condition or due to any act or neglect of Lessee, its agents, employees, contractors, invitees, licensees or permitted assignees or sublessees. Lessee further agrees to maintain and care for the grounds of the Premises, including mowing of grass, care of shrubs and general landscaping. Lessee agrees to return the Premises to Lessor at the expiration or termination of this Lease in as good of condition and repair as when first received, normal wear and tear excepted. Notwithstanding anything to the contrary set forth herein, upon reasonable notice from Lessee, Lessor shall be responsible for maintaining and repairing the roof, the exterior walls and the foundation of the Premises at Lessor's cost and expense, and shall indemnify Lessee against any loss, damage or expense arising from Lessor's failure to so maintain such portions of the Premises to be repaired by Lessor under terms of Paragraph 7 below, and keep the Premises free and clear of trash and debris and in a clean and sanitary condition, free from pests and rodentsPremises. In the event If Lessee fails to make said perform, or cause to be performed, such maintenance and repairs, upon not less than twenty (20) days written notice, Lessor may, but shall not be obligated to, make such repairsthen at the option of Lessor, in which eventits sole discretion and without any obligation to do so, any such maintenance or repair may be performed or caused to be performed by Lessor and the cost and expense thereof charged to Lessee, and Lessee shall promptly reimburse Lessor, pay the amount thereof to Lessor on demand as additional rent, for all expenses incurred thereby. Lessee also agrees to keep all systems pertaining to water, fire protection, drainage, sewer, electrical, heating, ventilation, air conditioning and lighting in good order and repair, and shall maintain at all times a maintenance contract for the heating, ventilation and air conditioning equipment with an HVAC contractor approved by Lessor. Said maintenance contract shall provide for regular inspection and filter changes. Lessee covenants and agrees that during the term of this Lease and for such further time as Lessee, or any person claiming under it, shall hold the Premises or any part thereof, it shall not cause the estate of Lessor in the Premises to become subject to any lien, charge or encumbrance whatsoever, it being agreed that Lessee shall have no authority, express or implied, to create any lien, charge or encumbrance upon the estate of Lessor in the Premises.

Unless the Premises is part of a multi-tenant building. Lessee further agrees to care for the grounds around the building, including regular mowing of grass, mulching, lawn and landscape maintenance and general landscaping. In the event Lessee fails to make said repairsrepairs or maintain said grounds, upon not less than twenty (20) days written notice, then Lessor may, but shall not be obligated to, make such repairsrepairs or maintain said grounds, in which event, Lessee shall promptly reimburse Lessor, as additional rent, for all expenses incurred thereby. Lessee also agrees to keep all systems pertaining to water, fire protection, drainage, sewer, electrical, heating, ventilation, air conditioning and lighting in good order and repair, and shall maintain at all times a maintenance contract for the heating, ventilation and air conditioning equipment with an HVAC contractor approved by Lessorequipment. Said maintenance contract shall provide for regular inspection and filter changes.
