Maintenance of Premises. (a) Lessee shall at its sole cost and expense keep, repair, and maintain the interior of the Premises in Good Condition and Repair, including, but not limited to, the interior walls and floors of all offices and other interior areas, doors and door closures, all lighting systems, temperature control systems, kitchen fixtures and equipment, and plumbing systems, including any Required Replacements. Lessee shall provide interior and exterior window washing as needed. The HVAC by a service contract with a licensed air conditioning and heating contractor which contract shall provide for a minimum of quarterly maintenance of all air conditioning and heating equipment at the Premises including HVAC repairs or replacements which are either excluded from such service contract or any existing equipment warranties. 3. The landscaping by a landscape contractor to water, maintain, trim and replace, when necessary, any shrubbery, irrigation parts, and landscaping at the Premises. 4. The roof membrane by a service contract with a licensed reputable roofing contractor which contract shall provide for a minimum of semi- annual maintenance, cleaning of storm gutters, drains, removing of debris, and trimming overhanging trees, repair of the roof and application of a finish coat every five years to the building at the Premises.

The elevators by a service contract with a licensed elevator service company, which contract will provide for a minimum of quarterly maintenance of the elevator and related equipment at each of the Buildings, including repair and replacements of parts and equipment. 5. The fire alarm system and related monitoring of the Buildings. Lessee shall have reasonable approval rights on all maintenance contracts provided for herein. Immediately prior to the building end of the Lease Term, Lessee shall provide Lessor with a Termite Report indicating that the Premises occupied by Lessee is free of any active termite infestation and any related damages, if any, have been repaired by Lessee at Lessee's sole cost and expense. Lessee hereby waives any and all rights to make repairs at the Premisesexpense of Lessor as provided in Section 1942 of the Civil Code of the State of California, and all rights provided for by Section 1941 of said Civil Code.

(a) Subject to Section 5(b), 9, 19, and 21 of this Lease, Lessee shall at its sole cost and expense keep, repair, and maintain the interior of the Premises in Good Condition and RepairBuilding 4, including, but not limited to, the interior walls and floors of all offices and other interior areaselectrical, doors and door closures, all lighting systems, HVAC, process piping, other special improvements, temperature control systems, kitchen fixtures and equipment, and plumbing systemssystems in Good Condition and Repair, including any Required Replacementsrequired replacements which are not required to be capitalized for in accordance with general accounting principles. Lessee shall maintain all wall surfaces and floor coverings in Good Condition and Repair, free of holes, gouges, or defacements and provide interior and exterior window washing as needed. (b) Subject to the "Common Area Charges" provision of this Lease, above, Lessor shall, at Lessee's expenses, shall keep, repair, and maintain in Good Condition and Repair including replacements (based on a pro-rata share of (i) costs based on square footage or (ii) costs directly related to Lessee's use of the Premises) the following, which shall be included incl uded in the monthly CACCAC as provided below: 1. The exterior of the building, any appurtenances and every part thereof, including but not riot limited to, glazing, sidewalks, parking areas, electrical systemsroof membrane, and painting of exterior walls. The parking lot to receive a finish coat every five years. 2. The HVAC by a service contract with a licensed air conditioning and heating contractor which contract shall provide for a minimum of quarterly maintenance of all air conditioning and heating equipment at the Premises including HVAC repairs or replacements which are either excluded from such service contract or any existing equipment warranties. 3. The landscaping by a landscape contractor to water, maintain, trim and replace, when necessary, any shrubbery, irrigation parts, shrubbery and landscaping at the Premises. 43. The roof membrane by a service contract with a licensed reputable roofing contractor which contract shall provide for a minimum of semi- annual maintenance, cleaning of storm gutters, drains, removing of debris, and trimming overhanging trees, repair of the roof and application of a finish coat every five years to Building 4. 4. Exterior pest control. 5. Fire monitoring services and on request, Lessor will provide Lessee with evidence of 24 hour monitoring. 6. Parking lot sweeping. 7. The HVAC is to be maintained by a service contract carried by L essor or, at Lessee's option, by Lessee, with a licensed air conditioning and heating contractor, which contract shall provide for a minimum of quarterly maintenance of all air conditioning and heating equipment at Building 4, including HVAC repairs and Required Capital Repairs and Replacements which are either excluded from such service contract or any existing equipment warranties and are not Replacements. Lessee shall reimburse Lessor for the building reasonable cost incurred by Lessor in performing the foregoing maintenance and repairs and in making any alterations, repairs, or improvement to comply with applicable Law pursuant to Section 9, below, or to comply with any insurance organization with respect to Building 4 pursuant to Xxxxxxx 0.X, xxxxx, as follows: Lessee shall reimburse Lessor (i) its prorata portion of such cost, based on square footage or other equitable means for work that benefits several tenant spaces, and (ii) the entire amount of such cost which are directl y related to Lessee's use of the Premises; provided, however, that if the work performed by Lessor is a Required Repair or Replacement, and the cost of an such item items of work exceeds for any lease year Fifteen Thousand Dollars ($15,000), then during the Lease Term the amount reimbursable by Lessee to Lessor shall be amortized (calculated in terms of months) over the estimated useful life of the repair, replacement, alteration or improvement commencing when the work is substantially complete, at an interest rate equal to Xxxxx Fargo's prime rate on the date the same is completed plus 1% and Lessee shall pay to Lessor the monthly amortized amount so derived as part of CAC during the Lese Term. (c) To the extent inconsistent with the terms of this Lease, Lessee hereby waives any and all rights to make repairs at the Premisesexpense of Lessor as provided in Section 1942 of the Civil Code of the State of California, and all rights provided for by Section 1941 of said Civil Code. (d) Lessor, at its sole cost and expense, shall be responsible for the repair of any structural defects in the Premises including the roof structure (not membrane), exterior walls and foundation during the Lease Term .

The roof membrane shall be maintained at the expense of Lessor by a service contract with a licensed reputable roofing contractor which contract shall provide for a minimum of semi- semi-annual maintenance, cleaning of storm gutters, drains, drains and removing of debris, debris and trimming overhanging trees, repair of the roof roof, and application of a finish coat every five years to the building at the Premises. Notwithstanding the terms above related to the roof, Lessee's total obligation shall be $7,000 per year to cover any maintenance, repairs, and roof amortization costs.
