Common use of Maintenance of Ratings Clause in Contracts

Maintenance of Ratings. In respect of the Borrower, use commercially reasonable efforts to (i) cause each Facility to be continuously rated (but not any specific rating) by S&P and Xxxxx’x and (ii) maintain a public corporate rating (but not any specific rating) from S&P and a public corporate family rating (but not any specific rating) from Xxxxx’x.

Maintenance of Ratings. In respect of the Borrower, use Use commercially reasonable efforts to (ia) cause each Facility to be continuously rated (but not any specific rating) by S&P and Xxxxx’x and (iib) maintain a public corporate rating (but not any specific rating) from S&P and a public corporate family rating (but not any specific rating) from Xxxxx’x, in each case for the Borrower.

Maintenance of Ratings. In respect of the Borrower, use commercially reasonable efforts to (i) cause each Facility the Term Loans to be continuously rated (but not any specific rating) by S&P and Xxxxx’x and (ii) maintain a public corporate rating (but not any specific rating) from S&P and a public corporate family rating (but not any specific rating) from Xxxxx’x.

Maintenance of Ratings. In respect of the Borrower, The Borrower shall use its commercially reasonable efforts to maintain a (i) cause each Facility to be continuously rated (but not any specific rating) by S&P and Xxxxx’x long-term public credit rating of the Borrower and (ii) a credit rating for the Facilities, in each case, from both S&P and Xxxxx’x; provided that in no event shall the Borrower be required to maintain a public corporate rating (but not any specific rating) from S&P and a public corporate family rating (but not with any specific rating) from Xxxxx’xsuch rating agency.

Maintenance of Ratings. In respect of the Borrower, The Borrower will use commercially reasonable efforts to maintain (i) cause each Facility to be continuously rated (but not any specific rating) by S&P and Xxxxx’x and (ii) maintain a public corporate credit rating (but not any specific rating) from S&P and a public corporate family rating (but not any specific rating) from Xxxxx’x and (ii) a public rating (but not any specific rating) in respect of the Loans and the Commitments from each of S&P and Xxxxx’x.

In respect of the Borrower, The Borrower will use commercially reasonable efforts to (i) cause maintain a rating of the Facilities by each Facility to be continuously rated of S&P and Xxxxx’x after such ratings are obtained (but not any to obtain or maintain a specific rating) by S&P and Xxxxx’x and (ii) maintain a public corporate rating (but not any specific rating) from S&P and a public corporate family rating (but not any specific rating) from Xxxxx’x).

Maintenance of Ratings. In respect of the Borrower, use Use commercially reasonable efforts to (ia) cause each Facility to be continuously rated (but not any specific rating) by S&P and Xxxxx’x and (iib) maintain a public corporate rating (but not any specific rating) from S&P and a public corporate family rating (but not any specific rating) from Xxxxx’x, in each case for Parent.

Maintenance of Ratings. In respect Each of Holdings and the Borrower, Borrower will use commercially reasonable efforts efforts, including, for the avoidance of doubt, the payment of the usual and customary fees and expenses of each of S&P and Xxxxx’x, to cause (ia) cause the Borrower to continuously have a public corporate credit rating from each of S&P and Xxxxx’x (but not to maintain a specific rating) and (b) the Term Facility and the Revolving Facility to be continuously rated by each of S&P and Xxxxx’x (but not any to maintain a specific rating) by S&P and Xxxxx’x and (ii) maintain a public corporate rating (but not any specific rating) from S&P and a public corporate family rating (but not any specific rating) from Xxxxx’x).

In respect of the Borrower, The Borrower shall use commercially reasonable efforts to maintain (i) cause each Facility to be continuously rated (but not any specific rating) by S&P and Xxxxx’x and (ii) maintain a public corporate credit rating (but not any specific particular rating) from S&P and a public corporate family rating (but not any specific particular rating) from Xxxxx’x, in each case, in respect of the Borrower and (ii) a public rating (but not any particular rating) in respect of the Term B Loans from each of S&P and Xxxxx’x.

Maintenance of Ratings. In respect of the Borrower, use Use commercially reasonable efforts to (i) cause each Facility to be continuously rated (but not any specific rating) by S&P and Xxxxx’x and (ii) maintain a public corporate rating for Holdings (but not any specific rating) from S&P and a public corporate family rating for Holdings (but not any specific rating) from Xxxxx’x. For purposes of clause (ii) of this Section 6.15, a public corporate rating of Parent and a public corporate family for Parent shall be sufficient.

In respect of the Borrower, use commercially reasonable efforts to (i) cause each Facility to be continuously rated (but not any specific rating) by S&P and Xxxxx’x Moody’s and (ii) maintain a public corporate rating (but not any specific rating) from S&P and a public corporate family rating (but not any specific rating) from Xxxxx’xMoody’s.

Maintenance of Ratings. In respect of the Borrower, The Borrower will use commercially reasonable efforts to maintain (i) cause each Facility to be continuously rated (but not any specific rating) by S&P and Xxxxx’x and (ii) maintain a public corporate credit rating (but not any specific rating) from S&P and a public corporate family rating (but not any specific rating) from Xxxxx’x and (ii) a public rating (but not any specific rating) in respect of the Term B Facility from each of S&P and Xxxxx’x.

For purposes of clause (ii) of this Section 6.15, a public corporate rating of Parent and a public corporate family for Parent shall be sufficient.

In respect of the Borrower, use commercially reasonable efforts to (i) cause each Facility to be continuously privately rated (but not any specific rating) by S&P and Xxxxx’x and (ii) maintain a public private corporate rating (but not any specific rating) from S&P and a public private corporate family rating (but not any specific rating) from Xxxxx’x.

Maintenance of Ratings. In respect of the Borrower, The Borrower shall use commercially reasonable efforts to (ia) cause each Facility to be continuously rated (but not any specific rating) by S&P S&P, Fitch and Xxxxx’x and (iib) maintain a public corporate rating (but not any specific rating) from S&P S&P, Fitch and a public corporate family rating (but not any specific rating) from Xxxxx’x.

Maintenance of Ratings. In respect If, and only if, the Borrower obtains public credit rating of the BorrowerFacilities from each of S&P and Xxxxx’x, a public corporate family rating of the Borrower from Xxxxx’x and a public corporate credit rating of the Borrower from S&P, at all times thereafter, use commercially reasonable efforts (to (ithe extent availability of necessary financial information) cause to maintain such ratings from each Facility to be continuously rated of S&P and Xxxxx’x (but not any specific credit rating) by S&P and Xxxxx’x and (ii) maintain a public corporate rating (but not any specific rating) from S&P and a public corporate family rating (but not any specific rating) from Xxxxx’x).
