Majority Vote of Directors. Except for matters that require a Member Approval or a Unanimous Vote and matters specified in Section 6.4 as within the authority of the Chief Executive Officer (or Co-Chief Executive Officers, as applicable) (but subject at all times to the direction and control of the Board), actions by the Company, or by the Company in its capacity as general partner of the Partnership, shall require approval by a Majority Vote.
