Making of Offer. Subject to clause 2.2, Rank agrees that it will: (a) send the Takeover Notice to Xxxxxx Xxxx Xxxxxx in accordance with Rule 41 of the Takeovers Code within 14 days after the date of this Agreement; and (b) make the Offer (by sending the Offer to Xxxxxx Xxxx Xxxxxx shareholders) as soon as reasonably possible, and in any event no later than 30 days, after sending the Takeover Notice.
