Management by the Management Committee. The business and affairs of the Company shall be managed and controlled exclusively by or under the direction of a management committee (the “Management Committee”), which may exercise all such powers of the Company and do all such lawful acts and things as are not by law or by this Agreement directed or required to be exercised or done by the Members.
