Common use of Manager’s confirmation Clause in Contracts

Manager’s confirmation. The written confirmation of the Managers that, throughout the Facility Period unless otherwise agreed by the Agent, they will remain the commercial and technical managers of the Vessels and that they will not, without the prior written consent of the Agent, sub-contract or delegate the commercial or technical management of any Vessel to any third party.

Manager’s confirmation. The written confirmation of the Managers (except Seahawk North America) that, throughout the Facility Period unless otherwise agreed by the AgentAgents, they will remain the commercial and technical managers of the Vessels and that they will not, without the prior written consent of the AgentAgents, sub-contract or delegate the commercial or technical management of any Vessel to any third party.

The written confirmation of the Managers Approved Manager that, throughout the Facility Period unless otherwise agreed by the Agent, they it will remain the commercial and technical managers of the Vessels and that they it will not, without the prior written consent of the Agent, sub-contract subcontract or delegate the commercial or technical management of any Vessel the Vessels to any third partyparty and confirming that, following the occurrence of an Event of Default, all claims of the Approved Manager against a Vessel Owner shall be subordinated to the claims of the Finance Parties under the Finance Documents.
