Manner of Sale. The Company may (but shall have no obligation to) cause any Registrable Securities that are the subject of a demand registration pursuant to this Section 3 to be sold in an Underwritten Offering in which event the Company shall have the right to designate the managing underwriter or underwriters thereof (which shall be reasonably satisfactory to the Holders whose Registrable Securities are the subject of such demand registration).
