Manufacturing Agreement. The Buyer shall have executed and delivered to the Sellers the Manufacturing Agreement with respect to the portion of the Business conducted at the applicable Facility.
Manufacturing Agreement. Toppan shall manufacture copper PET films at the Satte Facility for Newco for a post-Closing period to be agreed by the parties pursuant to a manufacturing agreement between Toppan and Newco (the “Manufacturing Agreement”).
Manufacturing Agreement. The Parties agree that Novavax and SIIPL shall enter into a manufacturing agreement on terms and conditions as may be mutually agreed, wherein SIIPL shall manufacture the Drug Substance and Product for Novavax (the “Manufacturing Agreement”). This agreement when executed shall run in parallel to the license Agreement and the same shall be treated as independent co-parallel agreements. The Parties agree that they have mutually agreed to the financial terms with respect to the said Manufacturing Agreement. For clarity, such agreed financial terms have been duly recorded in Appendix B herein annexed.
Manufacturing Agreement. Anthra and Nycomed *** CONFIDENTIAL TREATMENT REQUESTED. 20 shall make a good faith effort, within one hundred eighty (180) days after the date hereof, to negotiate and enter into a manufacturing agreement (the "Manufacturing Agreement"), pursuant to which Nycomed will Manufacture Product using AD 32 supplied to Nycomed by Anthra.
Manufacturing Agreement. In the event that this Agreement is terminated in its entirety, Schering shall assign its rights and obligations under the Manufacturing Agreement to EPIX, to the extent such assignment is permitted by the terms of the Manufacturing Agreement. In the event this Agreement is terminated as to any Region, Schering shall assign its rights and obligations under the Manufacturing Agreement relating to such terminated Region or Regions to EPIX, to the extent that such assignment is permitted by the terms of the Manufacturing Agreement.
Manufacturing Agreement. Subject to satisfying the ----------------------- prerequisites listed below, Aastrom and SeaMED will enter into a Manufacturing Agreement for Phase II manufacture of commercial units of the Instrument in accordance with the terms set forth in Exhibit F attached hereto. At the option and discretion of Aastrom, Aastrom may waive any one or more of said prerequisites. Said prerequisites are:
(a) SeaMED has performed its obligations during Phase I in a diligent, prompt and effective manner, to the reasonable satisfaction of Aastrom, without any defaults by SeaMED.
(b) SeaMED has manufactured the preproduction units and precommercial units of the Instrument during Phase I in full compliance with the Manufacturing Drawings and the Specifications, and SeaMED has delivered the quantities of same on a timely schedule as ordered, and SeaMED has complied fully with its obligations under this Agreement.
(c) SeaMED has successfully controlled the costs to manufacture the preproduction units and precommercial units, on a reasonable and cost effective basis.
(d) SeaMED has adequate facilities, equipment, personnel, governmental approvals, and manufacturing capacity to manufacture the quantities of the commercial units of the Instruments needed by Aastrom during Phase II; and SeaMED shall furnish to Aastrom reasonable evidence to verify the same.
(e) SeaMED's facility has received all necessary approvals from the FDA and from the European Community (or other necessary foreign agencies) to manufacture the commercial units of the Instrument.
(f) SeaMED's financial condition is sound and stable, such that there are no reasonable doubts as to SeaMED's financial ability to remain in business and perform its obligations contemplated under the Manufacturing Agreement, and SeaMED shall furnish to Aastrom reasonable evidence to verify the same.
(g) SeaMED is able and willing to manufacture the commercial units of the Instrument on a cost effective and efficient basis, on a timely production schedule, and on a high quality basis, pursuant to mutually approved pricing and delivery schedules, all in accordance with the Manufacturing Agreement, and SeaMED shall furnish to Aastrom reasonable evidence to verify the same.
(h) SeaMED maintains the insurance coverage as specified in the Manufacturing Agreement and SeaMED shall furnish to Aastrom reasonable evidence to verify the same.
(i) Aastrom is satisfied with the results of its clinical trials and the market potential for the Instrum...
Manufacturing Agreement. The Borrower shall have entered, or shall be in the process (reasonably satisfactory to the Agent) of entering, with an independent third party reasonably acceptable to the Agent, into an agreement providing for the production of product lines of the TIWP Business for the period subsequent to the term of that certain servicing agreement between Borrower and Texas Instruments dated as of the Amendment No. 3
Manufacturing Agreement. At the Closing, the parties agree to execute and deliver the Manufacturing Agreement in the form attached as Exhibit D and AccuLase agrees to manufacture the Product (as defined in the Manufacturing Agreement) upon the terms and conditions contained therein.
Manufacturing Agreement. This MANUFACTURING AGREEMENT (this "AGREEMENT") dated as of the first day of January, 2008 (the "EFFECTIVE DATE"), is made by and between BOEHRINGER INGELHEIM XXXXXX, INC.
