Terminated Region definition

Terminated Region has the meaning set forth in Section 14.5.

Terminated Region has the meaning set forth in Section 12.4(a) (Effects of Termination Generally).

• After the Sell-Off Period, Beta will destroy any remaining unused Glucagon Products in its possession in the Terminated Region and provide Xeris with written evidence of such destruction to Xeris, or transfer such Glucagon Products to other country(ies) or region(s) in the Territory.

• Upon receipt of notice of termination from the other Party, each Party will cooperate, and will cease, to the extent permitted in accordance with Applicable Law, as promptly as practicable, all activities then being performed by such Party and its Affiliates and sublicensees (including Subcontractors and Sublicensees) hereunder in the Terminated Region, except as necessary to conduct any wind-down activities in accordance with Applicable Law and industry standard.

More Definitions of Terminated Region

Terminated Region means, with respect to a Pre-Program Activity, Galapagos Program or Optioned Program, as applicable, the countries in the Gilead Territory as to which the applicable termination is effective or, if all countries in the Gilead Territory are or have been terminated, then the Gilead Territory.

Terminated Region means (a) [***], as applicable, by Beta pursuant to Section 11.2 (Termination for Convenience), or (b) all countries in the Territory if this Agreement is terminated (i) in its entirety or for [***] by Beta pursuant to Section 11.2 (Termination for Convenience) or (ii) in its entirety by Xeris pursuant to Section 11.3.3 (Patent Challenge) or by either Party pursuant to Section 11.3.1 (Termination for Cause) or Section 11.3.4 (Insolvency).

Terminated Region means, with respect to a Pre-Program Activity, Assembly Program, Optioned Program or Non-Optioned Gilead Program, as applicable, the Regions as to which the applicable termination is effective or, if all Regions in the Gilead Territory (with respect to Gilead) or Territory (with respect to Assembly) are or have been terminated, then the world.

Terminated Region shall have the meaning set out in clause 16.8.1.

Terminated Region has the meaning set forth in Section 11.2. 1. 125 “Territory” means NA.

Terminated Region means any region or country in the Territory with respect to which this Agreement is terminated or, if this Agreement is terminated in its entirety, all countries and regions of the Territory.
