Master Conceptual Plan. The Applicant and County agree that 850,000 square feet of Commercial, 50,000 square feet of office, and 1750 residential units may be constructed on the Upland Property (875 single family and 875 multifamily/condominiums). Proportional distribution of the residential units may be modified per the Applicants discretion. All other vested development rights in Fallschase DRI will remain with the Southern Property. The Master Conceptual Plan attached as Exhibit “EC” is hereby incorporated herein as a guide to future development review of the Property. The development areas, including the location of storm water facilities and roadway improvements, shown on the Master Conceptual Plan are intended to serve as a guide to future development. The Master Conceptual Plan shall be superseded by adoption of a revised PUD concept plan for the property, however, each development area may be relocated or altered as designated by the Applicant as specific requests for approvals of site plans are made, so long as the relocations or alterations are not a substantial change in the general location of the proposed land uses. The Applicant will donate one (1) acre of property to the County for public use as a library or other County facility.

Materials and Supplies Required to Complete Implementation In the event that there are items required to complete an Implementation, the Contractor may request the items be added to its Contract if the items meet the scope of the Contract. Negotiation of Final Project Plan If the Authorized User chooses to require a full Project Plan, the State further reserves the right for Authorized Users to negotiate the final Project Plan with the apparent RFQ awardee. Such negotiation must not substantively change the scope of the RFQ plan, but can alter timeframes or other incidental factors of the final Project Plan. The Authorized User will provide the Contractor a minimum of five (5) business days’ notice of the final negotiation date. The Authorized User reserves the right to move to the next responsible and responsive bidder if Contractor negotiations are unsuccessful.

Notwithstanding the foregoing, if any of the provisions of the Project Implementation Manual is inconsistent with the provisions of this Agreement, the provisions of this Agreement shall prevail and govern.
