Material Adverse Damage. From August 1, 1996 until the Closing Date, there shall not have been any physical damage to any of the Petroleum and Natural Gas Rights or the Tangibles, the uninsured portions of the cost of repair of which will exceed $3 Million. If any of the foregoing conditions in this Article, which are for the sole benefit of the Vendors, have not been fulfilled or performed by Closing, the Vendors may terminate this Agreement by notice in writing to the Purchaser. However, the Vendors may in writing waive compliance with any condition, in whole or in part, if they see fit to do so, without prejudice to its rights of termination in the event of nonfulfillment of any other condition in whole or in part or to its rights to recover damages for the breach of any representation, warranty, covenant or condition contained in this Agreement, whether or not it terminates this Agreement.

The Company does not have pending before the Commission any request for confidential treatment of information. No event, liability or development has occurred or exists with respect to the Company or its Subsidiaries or their respective business, properties, operations or financial condition, that would be required to be disclosed by the Company under applicable securities laws at the time this representation is deemed made that has not been publicly disclosed at least 1 Trading Day prior to the date that this representation is deemed made.
