Material Limitations. There shall not have been enacted, promulgated, enforced or issued by any Governmental Authority, and in effect, any Law which restrains or enjoins the consummation of the Arrangement or makes the Arrangement or other Transactions illegal.
Material Limitations. No material, including but not limited to, student, parental or school personnel complaints originating after initial employment will be placed in a Bargaining Unit Member’s personnel file unless the Bargaining Unit Member has had the opportunity to review the material.
