Material Losses. Since December 31, 1997, neither the Company nor the Subsidiary has sustained any loss or interference with its business or properties from fire, flood, hurricane, accident or other calamity, whether or not covered by insurance, or from any labor dispute or court or governmental action, order or decree, which loss or interference have a material adverse effect on the business, properties, operations, financial condition, results of operations or, to the Company's knowledge after due inquiry, prospects of the Company and the Subsidiary, taken as a whole.
