Common use of Material Violation Clause in Contracts

Material Violation. A material violation of Sections 8 or 9 shall constitute a material and substantial breach of this Agreement and shall result in the imposition of the Company’s remedies contained in Section 10 herein. Xxxxxxx acknowledges, represents, and agrees that proof of such personal solicitation by Xxxxxxx of any employee, client, referral source, or patient shall constitute absolute and conclusive evidence that Xxxxxxx has substantially and materially breached the provisions of this Agreement.

Material Violation. Xxxxxxx acknowledges, represents, NUGENT acknowledges and agrees that proof of such personal solicitation by Xxxxxxx solicitatxxx xx NUGENT of any employee, client, referral source, or patient an employee shall constitute absolute and conclusive evidence that Xxxxxxx evidexxx xxat NUGENT has substantially and materially breached the provisions of this Agreementtxxx Xxreement.
