Materials, Equipment and Fixtures. Seller reserves the right to substitute material, equipment, and fixtures of similar appearance, quality or design should Seller be unable to obtain the material, equipment, and/or fixtures set forth in the Floor Plan and Finish-Out Specifications through unavailability, model changes, or any other circumstance. Buyer understands and agrees that materials used in construction and completion may vary somewhat from any samples provided, and that such variations are inherent in manufacturing and shall not be grounds for any refusal by Buyer to accept the Unit in its actual as-built configuration.

Materials, Equipment and Fixtures. Seller reserves the right to substitute material, equipment, and fixtures of similar or better quality or design should Seller be unable to obtain those in the specifications through availability, model changes, or any other circumstances. Materials used in construction and completion may vary somewhat from any samples provided; such variations are inherent in manufacturing and shall not be grounds for any refusal by Purchaser to accept the Unit. Actual as-built conditions may also vary. Post-Closing Work. Purchaser shall be responsible for securing and protecting all furniture, items, and personal property during the performance of any work conducted in the Unit after Closing by Seller or Seller’s agents, contractors, employees, representatives or subcontractors (“Post-Closing Work”). Neither Seller nor its agents, employees, contractors, representatives, or subcontractors, shall be liable for any theft, damage or injury to the Unit or any property or persons therein arising from or related to the Post-Closing Work, including but not limited to, damage to furniture, appliances, flooring, fixtures or other personal property, unless such damage arises from Seller’s or Seller’s representatives willful misconduct or gross negligence.

  • Materials and Equipment ‌ Material means property that may be consumed or expended during performance, component parts of a higher assembly, or items that lose their individual identity through incorporation into an end item. Equipment means a tangible item that is functionally complete for its intended purpose, durable, nonexpendable, and needed for performance. Materials and Equipment shall be priced in accordance with the terms of the task order award, contract type, and applicable FAR and agency-specific regulatory supplements. Unless otherwise directed by task order terms and conditions, the Contractor may apply indirect costs to materials and equipment consistent with the Contractor’s usual accounting practices.
