Matters Relating to Existing Indebtedness of Borrower and Its Subsidiaries. Administrative Agent shall have received an Officer’s Certificate of Borrower stating that as of the Restatement Effective Date the Indebtedness of Loan Parties (other than Indebtedness under the Loan Documents, the 7% Subordinated Notes, the 7.75% Unsecured Notes and any Indebtedness solely among Borrower and the Restricted Subsidiaries) shall consist of approximately $20,933,000 in aggregate principal amount of outstanding Indebtedness and Capital Leases described in Schedule 7.1 annexed hereto.

Matters Relating to Existing Indebtedness of Borrower and Its Subsidiaries. Administrative Agent shall have received an Officer's Certificate of Borrower stating that, after giving effect to the transactions described in this Agreement, the Indebtedness of Loan Parties (other than Indebtedness under the Loan Documents) shall consist of (a) the aggregate principal amount set forth on Part I of Schedule 7.1 of outstanding Indebtedness described in Part I of Schedule 7.1 annexed hereto and (b) Indebtedness in an aggregate amount not to exceed the amount set forth on Part II of Schedule 7.1 in respect of Capital Leases described in Part II of Schedule 7.1 annexed hereto. The terms and conditions of all such Indebtedness shall be in form and in substance satisfactory to Administrative Agent.
Matters Relating to Existing Indebtedness of Borrower and Its Subsidiaries. On the Closing Date, Borrower and its Subsidiaries shall have (i) repaid in full all Indebtedness outstanding under the Existing Credit Agreement (the aggregate principal amount of which Indebtedness shall not exceed $130,000,000); (ii) terminated any commitments to lend or make other extensions of credit thereunder; (iii) delivered to Administrative Agent all documents or instruments necessary to release all Liens securing Indebtedness or other obligations of Borrower and its Subsidiaries thereunder; and (iv) made arrangements satisfactory to Administrative Agent with respect to the cancellation of any letters of credit outstanding thereunder or the issuance of Letters of Credit to support the obligations of Borrower and its Subsidiaries with respect thereto.
