Meetings; Notices. (a) Regular meetings of the Board of Managers may be held on at least one (1) day’s prior written notice at such time and at such place as shall from time to time be determined by the Board of Managers. (b) Special meetings of the Board of Managers for any purpose or purposes may be called at any time by Managers constituting the majority of the Board of Managers. Notice of the time and place of special meetings shall be delivered personally, by telephone, by facsimile or by e-mail to each Manager (i) at his or her address as shown on the Company’s records, and (ii) at least two (2) days prior to the time of the meeting. Any oral notice given personally or by telephone may be communicated to the Manager. The notice need not specify the place of the meeting, if the meeting is to be held at the Company’s principal office. (c) At all meetings of the Board of Managers, a majority of the entire Board of Managers shall constitute a quorum for the transaction of business and the act of a majority of the entire Board of Managers shall be the act of the Board of Managers, except as may be otherwise specifically provided by statute or this Agreement. (d) Whenever notice is required to be given, a written waiver thereof, signed by the person entitled to notice, whether before or after the time stated therein, shall be deemed equivalent to notice. Attendance of a person at a meeting shall constitute a waiver of notice of such meeting, except when the person attends a meeting for the express purpose of objecting, at the beginning of the meeting, to the transaction of any business because the meeting is not lawfully called or convened. Neither the business to be transacted at, nor the purpose of, any regular or special meeting of the Board of Managers, or of a committee of the Board of Managers, need be specified in any written waiver of notice unless so required by this Agreement. (e) If a quorum is not present at any meeting of the Board of Managers, then the Managers present thereat may adjourn the meeting from time to time, without notice other than announcement at the meeting, until a quorum is present.
Meetings; Notices. The Trustees will endeavor to meet at least once each three (3) months and at such other times as they deem it necessary to transact their business. The Chairman or the Secretary of the Board of Trustees may upon the written request of any two (2) Trustees, call a meeting of the Trustees at any time by giving at least five (5) days' written notice of the time and place thereof to the remaining Trustees. A meeting of the Trustees may be held at any time without notice if all the Trustees consent thereto in writing.

Meetings; Notices. (a) The Members shall hold an annual meeting on or before December 31 of each year at a place and time to be mutually determined. Special meetings of the Members may be called by the Manager upon at least thirty (30) days prior written notice or upon the written request of any Member. (b) For purposes of this Agreement, any notice which the parties hereto desire to give to the other shall be deemed given and received if written notice is either delivered to the address of the other party or mailed by certified U.S. Mail, return receipt requested to such address. Delivered notices will be effective when delivered and mailed notices two (2) business days after the notice is deposited in the U.S. Mail, with sufficient postage affixed thereon. Written notice will be deemed to include, but not limited to, facsimile transmissions followed by mailed delivery of such notice immediately thereafter.
Meetings; Notices. (a) Unless otherwise provided by the Act, meetings of the Members, for any purpose or purposes, may be called only by the Managing Member and no other Member upon prior notice and subject to procedures determined from time to time by the Managing Member. The Managing Member may designate any place within or without the State of New York for any meeting of the Members. Any Member may attend, at their option, any such meeting by telephonic means. (b) The Managing Member shall provide each Member a copy of any Material Notice received or given by the Company, RSVP, RAP or their Affiliates. (c) Notwithstanding any provision of this Agreement to the contrary: (i) the remedy of any Member with respect to any failure of the Managing Member to deliver a Material Notice under Section 9.01(b) shall be limited to the right of such Member to seek specific performance (unless such failure results from the failure or omission of the Asset Manager under the Management Agreement to timely provide the appropriate information to the Company) to obtain a copy of such Material Notice (it being understood that in no event shall there be any Damages or other remedies with respect to any such failure); and (ii) the Managing Member shall not be in breach or default of this Agreement because of failure to provide any Material Notice.
Meetings; Notices. Meetings of the Members for any purpose or purposes may be called by the Manager (as defined Section 4.1) and shall be called by the Manager whenever a Member or Members owning not less than 20 percent of the outstanding Units (as defined in Section 5.1 below) so request in writing. Certain actions hereunder shall require the vote of a "Unit Supermajority," which shall mean those Members whose aggregate Units equal or exceed 80 percent of the total outstanding Units. Notice of each such meeting shall be given to each Member by telephone, facsimile, in writing or in person at least 48 hours (in the case of notice by telephone, in person or by facsimile) or 10 days (in the case of notice by mail) before the time at which the meeting is to be held. Each such notice shall state the time and place of the meeting to be so held. No notice of the objects or purposes of any meeting of the Members need be given, and, unless otherwise indicated in the notice thereof, any and all business may be transacted at any such meeting. Notice given in accordance with this provision shall be deemed to be given at the time when the same is received by personal delivery, deposited in the mail or sent by facsimile.

Notice of the meeting will be given to each Member at least 48 hours (in the case of notice by telephone, by facsimile, by electronic mail or in person) or 10 days (in the case of notice by mail) before the time at which the meeting is to be held. Each notice will state the time and place that the meeting is to be held. No notice of the objects or purposes of any meeting of the Members must be given, and, unless otherwise indicated in the notice, any and all business may be transacted at the meeting.

  • Special Meetings; Notice Special meetings of the Board for any purpose may be called at any time by the President or by any two Managers. Special meetings of the Board shall be held upon four days’ written notice or 48 hours notice given personally or by telephone, e-mail, facsimile or other similar means of communication. Any such written notice shall be addressed or delivered to each Manager at such Manager’s address as it is shown upon the records of the Company or may have been given to the Company by the Manager for purposes of notice or, if such address is not shown on records or is not readily ascertainable, at the place in which the meetings of the Board are regularly held. Written notice by mail shall be deemed to have been given at the time a written notice is deposited in the United States mail, postage prepaid. Any personal notice shall be deemed to have been given at the time it is personally delivered to the recipient. Written notice by e-mail shall be deemed to have been given at the time it is actually transmitted by the person giving the notice by e-mail to the recipient.

  • Meetings by Telephone Members may participate in and hold such meeting by means of conference telephone, video conference or similar communications equipment by means of which all persons participating in the meeting can hear each other. Participation in such a meeting shall constitute presence in person at such meeting, except where a Member participates in the meeting for the express purpose of objecting to the transaction of any business on the ground that the meeting is not lawfully called or convened.

  • Notices of Meetings The Fund agrees that notice of each meeting of the Board of Trustees of the Fund will be sent to the Manager and that the Fund will make appropriate arrangements for the attendance (as persons present by invitation) of such person or persons as the Manager may designate.

  • Notice of Meetings Notice of all meetings of the Preferred Securityholders, stating the time, place and purpose of the meeting, shall be given by the Property Trustee pursuant to Section 10.8 to each Preferred Securityholder of record, at his registered address, at least 15 days and not more than 90 days before the meeting. At any such meeting, any business properly before the meeting may be so considered whether or not stated in the notice of the meeting. Any adjourned meeting may be held as adjourned without further notice.

  • Telephonic Meetings Members of any committee designated by the Management Directors may participate in or hold a meeting by use of conference telephone or similar communications equipment by means of which all committee members participating in the meeting can hear each other. Participation in a meeting pursuant to this Section shall constitute presence in person at such meeting, except where a committee member participates in the meeting for the express purpose of objecting to the transaction of any business on the grounds that the meeting is not lawfully called or convened.
