Common use of MEETINGS OF MEMBERS; WRITTEN CONSENT Clause in Contracts

MEETINGS OF MEMBERS; WRITTEN CONSENT. The Members do not contemplate holding meetings; however, meetings of the Members may be held if called by the Managers in their sole and absolute discretion, at such times and places within or without the State of California as the Managers fix from time to time. No annual or regular meetings of Members are required, but if such meetings are held, they shall be noticed, held and conducted pursuant to the Act. Members may participate in any meeting through the use of conference telephones or similar communications equipment as long as all Members participating can hear one another. A Member so participating is deemed to be present in person at the meeting. Any action which may be taken by the Members at a meeting may also be taken without a meeting, if a consent in writing setting forth the action so taken is signed by Members having not less than the minimum votes that would be necessary to authorize that action at a meeting of the Members duly called and noticed.
