Actions By the Managers. Any action required or permitted to be taken at any meeting of the Managers may be taken without a meeting, if all of the Managers consent thereto in writing or by electronic transmission, and the writing or writings or electronic transmission or transmissions are filed with the minutes of proceedings of the Managers.

Actions By the Managers. Subject to subparagraph (e) below, all decisions or actions of the Company are subject to the unanimous approval of the Managers (whether verbally or in writing, whether in person or by proxy).
Actions By the Managers. (a) Except as otherwise provided by this Section 6.02, each Manager shall be authorized to take lawful actions on behalf of the Company (and its Subsidiaries through the Company) in the ordinary course of business of the Company and its Subsidiaries to manage the ordinary course day-to-day management of the Company (and its Subsidiaries through the Company). (b) Notwithstanding anything to the contrary herein, the Company will not take or agree or otherwise commit to take, nor cause or authorize any of its Subsidiaries to take or agree or otherwise commit to take, any of the following actions without the affirmative vote at a meeting or prior written consent of at least a Majority of the Managers: (i) make any expenditures or incur any expenses, liabilities or obligations in excess of $500; (ii) hire or terminate, or pay compensation to (or amend any existing compensation terms with respect to), any employees, independent contractors, consultants or other service providers of the Company or its Subsidiaries; (iii) cause the Sponsor to vote its shares to approve the adoption of an equity incentive plan for FMC or to approve any equity incentive grants by FMC to any senior executive or entity involved with the management of FMC (to the extent the Sponsor is required to approve any such grants); (iv) engage, or terminate the engagement of, any investment bankers, underwriters, lawyers, accountants or other professional service providers for the Company or its Subsidiaries; (v) terminate, replace or appoint a new independent auditor for the Company and its Subsidiaries; (vi) offer or issue additional equity securities of FMC or any of its Subsidiaries (or any options, warrants or other rights to acquire, or securities convertible into such equity securities) in connection with a Business Combination; (vii) redeem, repurchase or otherwise acquire any equity securities of FMC or any of its Subsidiaries (or any options, warrants or other rights to acquire, or securities convertible into such equity securities) in connection with a Business Combination; (viii) adopt or amend any business plans or budgets for the Company or its Subsidiaries; (ix) enter into or consummate the Business Combination; (x) permit or cause the Company or any of its Subsidiaries to consolidate or merge with or into any Person or enter into any other similar business combination transaction; (xi) sell, assign, exclusively license or otherwise dispose of or transfer, in one transaction or a ...
Actions By the Managers. Any action that may be taken by the Managers shall require the consent of a majority of the Managers; PROVIDED, HOWEVER, that the Managers may, by unanimous agreement, delegate to one or more of their number the right and power to deal with any aspect of the Company's business and/or take any action that the Managers are authorized to take, without the further consent of the other Managers.

  • EXPENSES BORNE BY THE MANAGER The Manager will pay: (a) The compensation and expenses of all officers and executive employees of the Fund; (b) The compensation and expenses of all directors of the Fund who are persons affiliated with the Manager; and (c) The expenses of the organization of the Fund, including its registration under the Investment Company Act of 1940, and the initial registration and qualification of its Capital Stock for sale under the Securities Act of 1933 and the Blue Sky laws of the states in which it initially qualifies.

  • Termination by the Manager This Agreement may be terminated by the Manager if: (a) the Resident fails to check into their assigned Room within five (5) days of the first day of the Semester; (b) the Resident abandons their Room as detailed in section 8.03 of this Agreement; (c) the Resident decides not to accept the Room they were assigned, or any alternate rooms offered to them during the course of this Agreement; or (d) the Resident violates any of the terms of this Agreement, including violations of the Residence Community Living Standards or Institution Standards. Written Notice of Termination of Residency will be delivered to the Resident, and if necessary, the Manager may notify the Primary or Secondary Contact by phone or e-mail of the termination of the Resident’s residency. If the Resident is unavailable to receive service of the notice in person, then delivery of the notice to the Resident’s Room shall be deemed proper service and delivery. The Resident will be allowed 24 hours from the date and time of delivery of the Notice of Termination of Residency to fully vacate and remove all personal belongings from the Residence.

  • Actions by the Sellers Upon termination of the Agreement (or any portion thereof) in accordance with this Article II, with respect to any Serviced Appointment subject to such termination, the Sellers may (A) terminate, or consent to the termination of, any Serviced Corporate Trust Contract relating to such Serviced Appointment, (B) sell, transfer, assign, or otherwise dispose of any such Serviced Appointment, or resign (or consent to removal) from any such Serviced Appointment, or (C) agree to do any of the foregoing.

  • Indemnification by the Manager The Trust shall not be responsible for, and the Manager shall indemnify and hold the Trust or any Fund harmless from and against, any and all losses, damages, costs, charges, counsel fees, payments, expenses and liability arising out of or attributable to the willful misfeasance, bad faith, negligent acts or reckless disregard of obligations or duties on the part of the Manager or any of its officers, directors, employees or agents.

  • Determinations and Actions by the Board For all purposes of this Agreement, any calculation of the number of Common Shares outstanding at any particular time, including for purposes of determining the particular percentage of such outstanding Common Shares of which any Person is the Beneficial Owner, will be made in accordance with the last sentence of Rule 13d-3(d)(1)(i) of the General Rules and Regulations under the Exchange Act. The Board of Directors of the Company will have the exclusive power and authority to administer this Agreement and to exercise all rights and powers specifically granted to the Board of Directors of the Company or to the Company, or as may be necessary or advisable in the administration of this Agreement, including without limitation the right and power to (i) interpret the provisions of this Agreement and (ii) make all determinations deemed necessary or advisable for the administration of this Agreement (including any determination as to whether particular Rights shall have become void). All such actions, calculations, interpretations and determinations (including, for purposes of clause (y) below, any omission with respect to any of the foregoing) which are done or made by the Board of Directors of the Company in good faith will (x) be final, conclusive and binding on the Company, the Rights Agent, the holders of the Rights and all other parties and (y) not subject the Board of Directors of the Company to any liability to any Person, including without limitation the Rights Agent and the holders of the Rights.

  • Determinations and Actions by the Board of Directors The Board of Directors of the Company shall have the exclusive power and authority to administer this Agreement and to exercise the rights and powers specifically granted to the Board of Directors of the Company or to the Company, or as may be necessary or advisable in the administration of this Agreement, including, without limitation, the right and power to (i) interpret the provisions of this Agreement and (ii) make all determinations deemed necessary or advisable for the administration of this Agreement (including, without limitation, a determination to redeem or not redeem the Rights or to amend this Agreement). All such actions, calculations, interpretations and determinations (including, for purposes of clause (y) below, all omissions with respect to the foregoing) that are done or made by the Board of Directors of the Company in good faith, shall (x) be final, conclusive and binding on the Company, the Rights Agent, the holders of the Rights, as such, and all other parties, and (y) not subject the Board of Directors to any liability to the holders of the Rights.

  • Clean-Up Terminations by the Sellers (a) The Sellers shall have the right to elect to terminate this Agreement in the event that the remaining Serviced Appointments have generated LTM Fee Revenue that is less than 5% of the aggregate fee revenue generated by all Appointments that are Serviced Appointments as of January 1, 2024 in the twelve-month period prior to January 1, 2024. (b) In the event the Sellers elect to terminate this Agreement pursuant to clause (a) above, the Sellers shall, concurrently with such termination, pay to the Purchasers an amount equal to LTM Fee Revenue multiplied by 1.40. (c) For purposes of this Agreement, “LTM Fee Revenue” means the fee revenue (excluding net interest income but including money market fund fees) generated by all remaining Serviced Appointments in the last full twelve-month period prior to the time the Sellers elect to exercise their termination right pursuant to this Section 7.2.2.
