MEETINGS OF NOTEHOLDERS. 17.1 The provisions of Schedule 3 to the Trust Deed shall apply to meetings of the Noteholders and shall have effect in the same manner as if set out in this Agreement. 17.2 Without prejudice to subclause 17.1, each of the Paying Agents on the request of any holder of Notes shall issue voting certificates and block voting instructions in accordance with Schedule 3 to the Trust Deed and shall immediately give notice to the Issuer in writing (with a copy to the Trustee) of any revocation or amendment of a block voting instruction. Each of the Paying Agents will keep a full and complete record of all voting certificates and block voting instructions issued by it and will, not less than 24 hours before the time appointed for holding a meeting or adjourned meeting, deposit at such place as the Trustee shall approve, full particulars of all voting certificates and block voting instructions issued by it in respect of the meeting or adjourned meeting.

Each of the Agent and the other Paying Agents will keep a full and complete record of all voting certificates and block voting instructions issued by it and will, not less than 24 hours before the time appointed for holding a meeting or adjourned meeting, deposit at such place as the Trustee Agent shall designate or approve, full particulars of all voting certificates and block voting instructions issued by it in respect of the such meeting or adjourned meeting.

MEETINGS OF NOTEHOLDERS. 17.1 (1) The provisions of Schedule 3 to the Trust Deed 9 hereto shall apply to meetings of the Noteholders and shall have effect in the same manner as if set out in this Agreement. 17.2 (2) Without prejudice to subclause 17.1sub-clause (l), each of the Principal Agent, the Paying Agents and Transfer Agent on the request of any holder of Notes Noteholder shall issue voting certificates and block voting instructions in accordance with Schedule 3 to the Trust Deed 9 hereto and shall immediately forthwith give notice to the Issuer in writing (with a copy to the Trustee) of any revocation or amendment of a block voting instruction. Each of the Principal Agent, Paying Agents and the Transfer Agent will keep a full and complete record of all voting certificates and block voting instructions issued by it and willand, not less than 24 hours before the time appointed for holding a meeting or adjourned meeting, will deposit at such place as the Trustee Principal Agent shall approve, designate or approve full particulars of all voting certificates and block voting instructions issued by it in respect of the such meeting or adjourned meeting.

MEETINGS OF NOTEHOLDERS. 17.1 18.1 The provisions of Schedule 3 to the Trust Deed 5 shall apply to meetings of the Noteholders and shall have effect in the same manner as if set out in this Agreement. 17.2 18.2 Without prejudice to subclause 17.1clause 18.1, each of the Paying Agents on the request of any holder of Bearer Notes shall issue voting certificates and block voting instructions in accordance with either Part 1 or Part 2 of Schedule 3 to the Trust Deed 5 and shall immediately give notice to the Issuer in writing (relevant Issuer, with a copy to the Trustee) Guarantor, in writing of any revocation or amendment of a block voting instruction. Each of the Paying Agents will keep a full and complete record of all voting certificates and block voting instructions issued by it and will, not less than 24 hours before the time appointed for holding a meeting or adjourned meeting, deposit at such place as the Trustee Principal Paying Agent shall approve, full particulars of all voting certificates and block voting instructions issued by it in respect of the meeting or adjourned meeting. 18.3 For the avoidance of doubt, the provisions of articles 86 to 94-8 of the Luxembourg act dated 10 August 1915 on commercial companies, as amended, shall not apply to the Notes issued by ENEL S.A.

Each of the Paying Agents will keep a full and complete record of all voting certificates and block voting instructions issued by it and will, not less than 24 hours before the time appointed for holding a meeting or adjourned meeting, deposit at such place as the Note Trustee shall approve, full particulars of all voting certificates and block voting instructions issued by it in respect of the meeting or adjourned meeting.
