MEMBER AND STOCKHOLDER APPROVAL. This Agreement shall have been duly adopted and approved by (A) Members constituting the NYSE Requisite Vote in accordance with applicable Law and the NYSE Organizational Documents, and (B) holders of Archipelago Shares constituting the Archipelago Requisite Vote in accordance with applicable Law and the certificate of incorporation and bylaws of Archipelago.
MEMBER AND STOCKHOLDER APPROVAL. As soon as practicable after the execution of this Agreement, the Company shall submit this Agreement to its members (the "Members") for their approval. The Surviving Company, as the sole member of the Transitory Subsidiary, has approved this Agreement and the First Merger pursuant to Section 18-209 of the Delaware Limited Liability Company Act. The Company, as the sole stockholder of the Surviving Company, has approved the execution and performance of this Agreement by the Surviving Company, including the issuance of the Shares as contemplated by the First Merger, pursuant to Section 228 of the General Corporation Law of the State of Delaware.
MEMBER AND STOCKHOLDER APPROVAL. This Agreement and the transactions contemplated hereby shall have been approved by the stockholders of Castwell in the manner required by the applicable laws of the State of Nevada.
MEMBER AND STOCKHOLDER APPROVAL. The Plan of Merger was duly approved by the board of directors and shareholders of the Disappearing Entity in accordance with RCW 23B.11.030 and by the members of the Surviving Entity in accordance with RCW 25.15.421.
