Common use of Member Protection Clause in Contracts

Member Protection. Agent or Agency agrees that in no event shall Agent or Agency, or any Downstream Entity bill, charge, collect a deposit from, seek compensation, remuneration or reimbursement from, or have any recourse against a Member or any other person(s) acting on a Member’s behalf, for services provided under this Agreement, or for any other fees that are the legal obligation of Medica under the applicable CMS Contract. This provision applies, but is not limited to, the following events: (a) nonpayment by Medica; (b) insolvency of Medica; or (c) breach of the Agreement by Medica.
