Common use of Member Protection Clause in Contracts

Member Protection. No recourse under or upon any obligation, covenant or agreement contained in this Lease, or any other agreement or document pertaining to the operations of Tenant hereunder, as such may from time to time be altered or amended in accordance with the provisions hereof, or under any judgment obtained against Authority, or by the enforcement of any assessment or by any legal or equitable proceeding by virtue of any statute or otherwise, under or independent of this Lease, shall be had against any member (including, without limitation, members of Authority’s Board and members of Authority’s citizens advisory committees), officer, employee or agent, as such, past, present and future, of Authority, either directly or through Authority or otherwise, for any claim arising out of this Lease or the operations conducted pursuant to it, or for any sum that may be due and unpaid by Authority. Any and all personal liability of every nature, whether at common law or in equity, or by statute or by constitution or otherwise, of any Authority member, officer, employee or agent, as such, to respond by reason of any act or omission on his or her part or otherwise for any claim arising out of this Lease or the operations conducted pursuant to it, or for the payment for or to Authority, or any receiver therefor or otherwise of any sum that may remain due and unpaid by Authority, is hereby expressly waived and released as a condition of and as consideration for the execution of this Lease.

Any and all personal liability of every nature, whether at common law or in equity, or by statute or by constitution or otherwise, of any Authority member, officer, employee or agent, as such, to respond by reason of any act or omission on his or her part or otherwise for any claim arising out of this Lease or the operations conducted pursuant to it, or for the payment for or to Authority, or any receiver therefor or otherwise of any sum that may remain due and unpaid by Authority, is hereby expressly waived and released as a condition of and as consideration for the execution of this LeaseLease provided that Authority assumes such liability.

No recourse under or upon any obligation, covenant or agreement contained in this LeaseAgreement, or any other agreement or document pertaining to the operations of Tenant Lessee hereunder, as such may from time to time be altered or amended in accordance with the provisions hereof, or under any judgment obtained against AuthorityDistrict, or by the enforcement of any assessment or by any legal or equitable proceeding by virtue of any statute or otherwise, under or independent of this LeaseAgreement, shall be had against any member (including, without limitation, members of AuthorityDistrict’s Board and members of AuthorityDistrict’s citizens advisory committees), officer, employee or agent, as such, past, present and future, of AuthorityDistrict, either directly or through Authority District or otherwise, for any claim arising out of this Lease Agreement or the operations conducted pursuant to it, or for any sum that may be due and unpaid by AuthorityDistrict. Any and all personal liability of every nature, whether at common law or in equity, or by statute or by constitution or otherwise, of any Authority District member, officer, employee or agent, as such, to respond by reason of any act or omission on his or her part or otherwise for any claim arising out of this Lease Agreement or the operations conducted pursuant to it, or for the payment for or to AuthorityDistrict, or any receiver therefor or otherwise of any sum that may remain due and unpaid by AuthorityDistrict, is hereby expressly waived and released release as a condition of and as consideration for the execution of this LeaseAgreement.

No recourse under or upon any obligation, covenant or agreement contained in this Lease, or any other agreement agreements or document documents, pertaining to the operations of Tenant hereunderLessee under this Lease, as such this Lease may from time to time be altered or amended in accordance with the provisions hereof, or under any judgment obtained against the Authority, or by the enforcement of any assessment or by any legal or equitable proceeding by virtue of any statute or otherwise, under or independent of this Lease, shall be had individually and personally against any member (includingpast, without limitation, members of Authority’s Board and members of Authority’s citizens advisory committees)present or future member, officer, employee or agentagent (each an “Authority Representative”), of the Authority, as such, past, present and future, of Authority, either directly or through the Authority or otherwise, for any claim arising out of this Lease or the operations conducted pursuant to it, or for any sum that may be due and unpaid by the Authority. Any and all personal liability of every nature, whether at common law or in equity, or by statute or by constitution or otherwise, of any Authority member, officer, employee or agent, as such, to respond by reason of any act or omission on his or her part or of otherwise for any claim arising out of this Lease or the operations conducted pursuant to it, or for the payment for of or to the Authority, or any receiver therefor or otherwise otherwise, of any sum that may remain due and unpaid by the Authority, is hereby expressly waived and released as a condition of and as consideration for the execution of this Lease.
