Member Representative Director Nomination and Election. The Member Nominating Committee shall nominate candidates for each Member Representative Director position on the Board that is to be elected by Exchange Members or Holdco under the terms of this Agreement (subject, where applicable, to Section 7.4). Each member of the Member Nominating Committee shall be a Member Representative Committee or Panel Member.
