Members; Approval; Chairs. A Party may change one or more of its representatives to the Research Committee at any time. Members of the Research Committee may be represented at any meeting by another member of the Research Committee, or by a deputy. Either Party may permit additional employees and consultants to attend and participate (on a non-voting basis) in the Research Committee meetings, subject to the confidentiality provisions of Article XI. Any approval, determination or other action agreed to by all of the members of the Research Committee or their deputies present at the relevant meeting shall be the approval, determination or other action of the Research Committee, provided that at least two (2) representatives of each Party are present at such meeting. The Research Committee shall be chaired by Xxxxxxx Xxxxxx.

Members of the Executive Committee may be represented at any meeting by another member of the Executive Committee, or by a deputy. Either Party may permit additional employees and consultants to attend and participate (on a non-voting basis) in the Executive Committee meetings, subject to the confidentiality provisions of Article 8. Any approval, determination or other action agreed to by all of the members of the Executive Committee or their deputies present at the relevant meeting shall be the approval, determination or other action of the Executive Committee, provided that at least one representative of each Party is present at such meeting. The Executive Committee shall be chaired by the representative of the host Party.

  • Operating Committee 7.01 To coordinate the operation of their respective generating, transmission and substation facilities, in order that the advantages to be derived hereunder may be realized by the parties hereto to the fullest practicable extent, the parties shall establish a committee of authorized representatives to be known as the Operating Committee. Each of the parties shall designate in writing delivered to the other party, the person who is to act as its representative on said committee (and the person or persons who may serve as alternates whenever such representative is unable to act).   • Development Committee As soon as practicable, the Parties will establish a joint development committee, comprised of at least one (1) and up to two (2) representatives of Omega and at least one (1) and up to two (2) representatives of Acuitas (the “JDC”). One such representative from each Party will be such Party’s Workplan Leader. Each Party may replace its Workplan Leader and other JDC representatives at any time upon written notice to the other Party, provided, however, that each Party shall use reasonable efforts to ensure continuity on the JDC. With the consent of the other Party (which will not be unreasonably withheld, conditioned or delayed), each Party may invite non-voting employees and consultants to attend JDC meetings as necessary, subject to consultant’s agreement to be bound to the same extent as a permitted subcontractor under Section 3.1(i).

  • Board of Director Approval This Agreement shall have been approved by the Board of Directors of Acquirer.

  • Approval and Completion If any dispute regarding the design of the Tenant Improvements is not settled within 10 business days after notice of such dispute is delivered by one party to the other, Tenant may make the final decision regarding the design of the Tenant Improvements, provided (i) Tenant acts reasonably and such final decision is either consistent with or a compromise between Landlord’s and Tenant’s positions with respect to such dispute, (ii) that all costs and expenses resulting from any such decision by Tenant shall be payable out of the TI Fund (as defined in Section 5(d) below), and (iii) Tenant’s decision will not affect the base Building, structural components of the Building or any Building systems (in which case Landlord shall make the final decision). Any changes to the TI Construction Drawings following Landlord’s and Tenant’s approval of same requested by Tenant shall be processed as provided in Section 4 hereof.
