Members Have No Managerial Authority. The Members shall have no power to participate in the management of the Company, except as expressly authorized by this Agreement.

The Members shall have no power to participate in the management of the LLC except as expressly authorized by this Agreement or the Certificate and except as expressly required by the Act. Unless expressly and duly authorized in writing to do so by the Executive Committee, no Member shall have any power or authority to bind or act on behalf of the LLC in any way, to pledge its credit, or to render it liable for any purpose.

The Members shall have no power to participate in or direct the management of the Company, to vote upon or approve or disapprove any matter or action, except as expressly provided in this Agreement. Unless expressly and duly authorized in writing to do so by the Manager, no Member shall have any power or authority to bind or act on behalf of the Company in any way, to pledge its credit, or to render it liable for any purpose.

The Members shall have no power to participate in the management of the Company except as expressly authorized by this Agreement or the Articles and except as expressly required by the Act in a provision that cannot be waived or varied by this Agreement. No Member, acting solely in such capacity, is an agent of the Company. Unless expressly and duly authorized in writing to do so by the Board, no Member shall have any power or authority to bind or act on behalf of the Company in any way, to pledge its credit, to execute any instrument on its behalf, or to render it liable for any purpose.

The Members shall have no power to participate in the management of the Company except as expressly authorized by this Operating Agreement and except as expressly required by the Delaware Act. Unless expressly and duly authorized in writing to do so by the Managers, no Member shall have any power or authority to act as an agent of the Company, to bind or act on behalf of the Company in any way, to pledge its credit, or to render it liable for any purpose.

Unless expressly and duly authorized in writing to do so by the Board of Managers, no Member shall have any power or authority to sign for, bind or act on behalf of the Plan in any way, to pledge the Plan’s credit, or to render the Plan liable for any purpose; provided, however, that any Member may act on behalf of the Plan in any manner consistent with the authority granted to such Member by the Board of Managers.

Unless expressly and duly authorized in writing to do so by the Manager, no Member, as such, shall have any power or authority to sign for, bind or act on behalf of the Company in any way, to pledge the Company’s credit, or to render the Company liable for any purpose; provided, however, that if any Member is also an officer or employee of the Company that Member may act on behalf of the Company in any manner consistent with the authority granted by the Manager to that Member as such an officer or employee.
