Microsoft Product Access. Client shall not, nor permit any third party to, access, maintain, or otherwise use any Microsoft products which Verisk makes available in connection with the Managed Services except for the sole purpose of accessing the functionality of the Microsoft products within the Managed Services. Client agrees that in addition to the terms of the Agreement, the following provision applies to the Microsoft products, as required by Microsoft: “
(a) Microsoft disclaims to the extent permitted by applicable law all warranties by Microsoft and any liability of Microsoft or its suppliers for any damages, whether direct, indirect, or consequential. The Microsoft products are not fault-tolerant and are not guaranteed to be error free or to operate uninterrupted. Client will not use them in any situation where their failure could lead to death or serious bodily injury or to severe physical or environmental damage, and (b) Microsoft will not provide technical support to Client”. Client acknowledges that Microsoft Corporation, and each of its affiliates which licenses the Microsoft products, shall have the benefit of all provisions of this Agreement which are expressly or impliedly for their benefit, and shall have the right to enforce such provisions directly against the Client and to verify the compliance of the Client with such provisions.
Microsoft Product Access. Client shall not and shall ensure that no third party providing services to the Client shall access, maintain, or otherwise use the Microsoft Products except for the sole purpose of accessing the functionality of the Microsoft Products within the Managed Services. Client agrees that it is bound by the terms of the Microsoft End User License Terms annexed hereto in its use of the Microsoft Products and understands that Verisk is obliged by contract with Microsoft to have the Client agree to this provision. The Client hereby acknowledges that Microsoft Corporation, and each of its affiliates which licenses the Microsoft Products to Verisk, shall have the benefit of all provisions of this Agreement which are expressly or impliedly for their benefit, and shall have the right to enforce such provisions directly against the Client and to verify the compliance of the Client with such provisions.
